Key Responsibilities
- Advise on major contracts and transactions, including fund raiser / investment rounds, operator and vendor agreements, mergers and acquisitions and business agreements
- Examine legal requirements related to prospective M&A or partnerships as part of due diligence checklist.
- Work with actuarial, finance, regulatory, product, asset management, tax, HR and other functional specialists on due diligence, managing external counsel;
- Participate in and oversee external counsel in the drafting and negotiation of contracts and insurance business transfers;
- Ensure due governance of transactions including ensuring that approvals are on the basis of objective risk assessments.
- Other responsibilities will include work on board, other governance and regulatory matters, commercial contracts and disputes, and in the development of house positions, know-how and training to business colleagues, offering the opportunity to diversify skills and experience.
- Valuation, due diligence, transaction support/ advisory assignments
- Preparation of valuation models, pitch books, Information Memorandum, due diligence reports, commercial deal structures
Requirements
- Premier School Graduate - LLB with 7-12 years of experience in the Legal domain.
- Stint with startups with team and process ramping up experience (Preferred)
- Prior Experience with a reputed Law firm (Preferred)
- 5+ years of solid experience in transactional corporate matters and/or commercial law.
- Corporate experience would include private (and public) M&A.
- Overall knowledge of M&A related legal, regulatory and tax environment
