Position - Legal Advisor

Location - Pune

We are seeking a dedicated Senior Legal Advisor to provide professional advice on legal and regulatory matters in the Merger & Acquisition Practice Team & NCLT matters. In this role, you will be responsible for handling and advising clients on corporate law and related matters. Particularly you will be expected to handle mergers and other matters which take place before the National Company Law Tribunal. You will also be required to work on matters related to due diligences, investment transactions, acquisition transaction etc.

Duties & Responsibilities :

- Draft, vet, and file applications, petitions, and submissions with the NCLT and other relevant government authorities.

- Prepare and review notices and other legal documents required for mergers, amalgamations, demergers, and fast-track merger processes.

- Conduct thorough research on case laws, procedures, and judicial precedents under applicable laws.

- Provide detailed legal opinions based on research findings to support case strategies.

- Represent clients and plead cases before the NCLT and other government authorities, including the Regional Director.

- Handle online filing and other procedural requirements for NCLT submissions effectively.

- Front-end communication and coordination with clients, advising on strategies, and managing expectations.

- Provide timely updates and information to clients and other stakeholders.

- Liaise and coordinate with associates, legal counsels, clients, and other stakeholders as needed.

- Guide and assist the legal team in overcoming practical difficulties involved in NCLT procedures and enhance their knowledge on NCLT matters.

- Ensure proper case management by proactively anticipating issues, undertaking regular follow-ups, and addressing legal interpretation and compliance issues.

- Draft share purchase agreements, shareholders agreements, and other related documents.

- Conduct legal due diligence to ensure comprehensive legal compliance and risk management.
