The M&A Lead for our client will be required to perform his / her functions with a focus on delivering value to the business through integration readiness assessments, developing integration strategies, target due diligence, and post-close integration management. S/he also identifies markets, industries, geographies, and technologies that complement the overall M&A strategy and translate these analyses into specified targets. The successful candidate will report to the India Head.

Key Responsibilities:

- Provide analysis in the evaluation of acquisitions, divestments, trades, and joint ventures, to maximize value created, in line with corporate goals and strategies as part of project M&A work or as part of the strategic corporate development role in M&A.

- Conduct detailed research on potential M&A targets, including assessment of management strength and depth, employee skill sets and credentials, capabilities and solutions, client attractiveness, market dynamics and attractiveness, and competitive environment

- Identifying potential acquisition targets and negotiating acquisition deals.

- Leading due diligence efforts to assess the financial and operational viability of potential targets

- Leading client meetings and providing strategic advice

- Maximizing value created in line with corporate goals and strategies.

- Overseeing and managing all aspects of the merger or acquisition process from start to finish.

- Gather important information regarding risks and opportunities for impending and ongoing M&A activities, translating this information into fact-based and well-reasoned insights on the valuation and structural impact of the merger or acquisition.

- Play a strategic role in leading, planning, and providing support for due diligence activities across all functional areas of any transaction inclusive of commercial, financial, products, operations, technology, sales and marketing

- Develop operating models that are highly flexible in order to be able to maneuver through multiple scenarios for the purpose of enabling any necessary and abrupt changes on a real-time basis

- Partner with the legal department in order to ensure that proper protocols and processes are followed and adhered to in a timely manner for each transaction.

- He also works hand-in-hand with top leadership in the business development department in making final approvals of M&A transactions as well as delivering well communicated, balanced, and comprehensive analyses for each stage of merger and acquisition transactions for the business's executives and key stakeholders

Keep up with legislation and regulatory policies governing merger and acquisition transactions within the business's jurisdiction of operation, ensuring all of the business's M&A activities fall within the confines of these policies and legislation

- Support in data analysis customer install base, customer migration plans, channel transition that adds value to the overall plan

- Recommend valuation and transaction structure

Desired Skills:

- A minimum of 15+ years' experience post MBA

- A candidate for this position must have had at least 10 years in working experience in an M&A capacity within a fast-paced, highly competitive, and dynamic environment.

- A suitable candidate will also have had a vast and successful track record of managing transactions, transaction valuation, and strategic transaction analyses.

- Proficiency in building complex financial models to evaluate potential deals, including discounted cash flow (DCF), comparable company analysis (comps), and precedent transactions.

- Understanding of valuation methods such as EBITDA multiples, price-to-earnings (P/E) ratios, and net asset value (NAV) calculations.

- Ability to assess the financial health and risks of target companies by analyzing their financial statements, contracts, and operational data.

- Familiarity with legal aspects, including contracts, intellectual property, and regulatory compliance.

- Understanding of the industry in which the target company operates. This includes market trends, competitive landscape, and growth prospects

- Have experience making effective decisions through the analysis of information and proficient deal analysis, negotiation and execution.

- Excellent communication and presentation skills. Ability to distill large amounts of information into clear, executive level presentations for decision-making.

- Strong interpersonal, leadership and the ability to work with diverse teams in multiple locations

- Ability to work independently and yet be fully accountable

- Strong organizational skills, entrepreneurial drive and strong work ethics

- Handling confidential information appropriately.

- M&A deals can be complex and unpredictable. Being adaptable and resilient is crucial.
