Job Description - Leading the legal function of a fast growth setup in the technology space

Description :
- Independently draft and review agreements create standard templates of agreements, purchase orders and specialized topics. Drafting, negotiating, and reviewing of a wide range of domestic and international commercial contracts (including NDAs, Consortium Agreements, Supply and Purchasing Agreements, Work Contracts, Framework Agreements, Service Level Agreement, Government Contracts, etc.) with public and private customers, as well as suppliers and sub-contractors.
- Advice on corporate M&A or fund-raise transactions including acquisitions (whether by share purchase or business transfers), cross border mergers or amalgamations as well as joint ventures involving third parties with FDI.
- Manage the transaction cycle end-to-end, draft and commenting on transaction documents, legal due diligence, leading/supporting legal negotiations, signing, and closing as well as managing post-closing matters related to a transaction.
- Conduct compliance risk assessments, compliance due diligence screenings on business associates, key clients, and vendors. Arrange and implement inspections and audits from third-party organizations and regulatory bodies.
- Advice cross-functional groups in connection with deal execution
- Lead compliance, integrity and GDPR trainings & implementations
- Manage the Intellectual Property Portfolio of the brand
- Providing legal advice, including general commercial legal advice, and rendering legal support to the management and to all business units and corporate departments like Sales, Procurement, Finance, IT, Compliance, CSR, etc.
- Review, research, interpret, and prepare both written and oral opinions on a wide variety of legal issues
- Liaise with external consultants or law firms on various routine matters
- Advice business on various possible litigation and risks, classification of the same according to the criticality and on effective handling of the same.
- Responsible for developing effective litigation reporting mechanism and maintenance of all documentation at a central repository.
- Build network with outside counsels and independent litigators on a Pan India basis.
- Ability to independently create and handle briefings with external counsels including senior counsels. Familiarity with litigation and IP management tools.
Profile :
- The candidate is expected to have a law degree, with 10+ years of legal experience
- Strong written and communication skills in relation to legal issues and ability to lead complex negotiations
- Proven ability to manage multiple projects / issues and staying focused on deliverables within timelines
- Ability to deliver high-quality work under deadlines and work independently
