Lead Company Secretary
Our Client is a market-leading, listed brand renowned for dedication to quality products & services, innovation, and sustainable growth. With a portfolio spanning across the country. The client is looking to on board a Lead Company Secretary to join the leadership team.
Position Overview:
The Lead Company Secretary will play a pivotal role in ensuring that the company adheres to legal standards and in-house policies. This role is instrumental in maintaining the company's standing with all regulatory bodies and will be actively involved in strategic planning at the highest level.
Key Responsibilities:
1. Governance and Compliance
- Ensure that the company complies with all legal and regulatory requirements.
- Maintain up-to-date knowledge on all relevant legislations and ensure that the board is informed of any changes that affect the business.
- Oversee and manage all company secretarial obligations.
2. Board and Committee Meetings
- Organize, prepare agendas for, and attend board and committee meetings.
- Ensure that board procedures are both followed and regularly reviewed.
- Maintain minutes of board and committee meetings.
3. Shareholder Relations
- Manage all communications between the company and its shareholders.
- Organize and oversee the company's AGM.
- Maintain the register of shareholders and monitor changes in share ownership.
4. Strategic Planning
- Collaborate with other leaders within the organization to help guide the company's growth and development.
- Provide advice on the legal implications of strategic plans.
5. Management and Training
- Mentor and train the company secretarial team.
6. Internal Liaison and Communication
- Facilitate effective communication between the board and the management.
- Coordinate with various departments to ensure the smooth flow of information to the board.
7. Stakeholder Engagement
- Establish relationships with stakeholders, including regulators, auditors, lawyers, and other professionals.
Qualifications and Experience:
1. A qualified Company Secretary preferably with a degree in Law.
2. Membership of a recognized professional body for company secretaries.
3. A minimum of 14-18 years post-qualification experience in company secretarial practices, with a significant portion of this in a listed company environment.
4. Demonstrated experience in top tier companies.
5. Excellent understanding of corporate governance principles and practices.
6. Strong leadership and interpersonal skills.
7. Outstanding communication, both written and verbal.
8. Analytical, with a detail-oriented approach.
9. High ethical standards and professional integrity.
