Job Role :
- Drafting and vetting of Agenda papers and minutes for Board and its various Committees
- Conducting of Board/Board Committee meetings
- Interaction with the Directors
- Conducting General Meetings/Postal Ballot
- Activities associated with granting and allotment of ESOPs and SARs
- Filing of Forms with MCA
- Preparation of Annual Report - Notices, Directors Report and Corporate Governance Report
- Monitoring various activities under the Insider Trading Code and preparation of Reports
- Co-ordination with Registrar & Share Transfer Agents for Investor related matters, IEPF, Dividend payouts, etc.
- Drafting cases for seeking legal opinions
- Handling Secretarial and Statutory Audits as also RBI Inspections; preparation of responses
- Making disclosures under SEBI LODR with Stock Exchanges
Job Requirements
- Qualified Company Secretary (in addition, Law Degree preferred)
- Work experience of about 18- 20 years preferably in Banks or NBFCs (listed entities)
Expert knowledge of:
- SEBI Regulations
- Companies Act/ Secretarial Standards and other Corporate laws
- SEBI LODR (provisions applicable to Equity Listed companies)
- Insider Trading Regulations
- Issuance of ESOPs and SARs
- Good interpretation skills of legal provisions
- Knowledge of Banking Regulation Act and Regulations (preferred)
- Ability to co-ordinate with Registrar & Share Transfer Agents
- Ability to represent matters before Solicitors and Legal Counsels
- Good written and spoken English
- Excellent drafting skills
- Attention to details
- Ability to handle Secretarial and Statutory Audits and RBI Inspections.
- Ability to independently handle Secretarial matters of the Department in the absence of the Company Secretary
- Good Team Player
- Excellent communication and interpersonal skills
