Objective : To assist in the legal affairs of Tabreed, including legal and company secretarial support for Tabreed group companies, liaison with Government departments and entities and to make recommendations to, advise and assist other departments and senior executives
Description:
- Providing legal and transactional advice to all Tabreed departments and Tabreed group members on legal matters to safeguard the group and minimise risk exposure.
- Assisting in negotiation, drafting and/or review of all commercial contracts (e.g. concession contracts, cooling service agreements, construction services agreements, non-disclosure agreements, EPC, procurement contracts, O&M contracts, etc)
- Assisting with ensuring compliance with all applicable local and/or global laws, rules and regulations
- Assist with identifying and assessing legal and commercial risks, and developing action plans upon identified deficiencies or opportunities for improvement
- Assisting on all legal aspects and impacts of the district cooling regulators' intended regulatory regime
- Assist with all legal, contractual and regulatory interactions with all government departments, entities and regulators
- Assisting the Legal Counsel on all board management
- Preparing agendas, papers and follow-ups on appropriate actions for the board, committee and annual general meetings (AGMs)
- Convening and conducting AGMs, recording proceedings, formulating resolutions and submitting relevant paperwork and yearly reports to the proper departments
- Making sure any updates to legislation, regulations or policies that can impact the organisation have the committee's blessing
- Keeping all necessary records, such as director, secretary and member registrations
- Corresponding, compiling data, creating reports and informing key stakeholders of decisions
Minimum Experience:
- 2 - 3 years of relevant post qualification experience in a top-tier law firm or minimum of 5 years of experience as a Company Secretary or in a similar corporate governance role
- Knowledge of law and finance
- Familiarity with relevant software and applications
- Experience in international cross-border transactions and projects
- Ability to liaise effectively, and coordinate with, internal project teams and vendors and service providers (at the international and local level)
Minimum Qualifications:
- Bachelor's Degree in Law.
- CS certification (preferable)
- Business communication course certification
- Familiarity with relevant laws, regulations, and best practices related to corporate governance
- Experience in organizing board meetings, maintaining official records, and facilitating communication between stakeholders
- Strong understanding of corporate compliance and statutory filing requirements
