Role: Company Secretarial Administration and Support
Overview:
- Working within the Board Management Support Team (BMS) who provide services for UK Open ended funds, Investment Trusts, Luxembourg and Irish domiciled funds, all of which are managed by JPMorgan Asset Management.
- The role on offer covers various aspects of company secretarial and administration support to the funds that the BMS team is responsible for. The role will work closely with the BMS team based in the UK and will focus on the provision of accurate and timely reporting and also the coordination of various deliverables across the team to ensure all obligations are met on a timely basis.
- Ideally the successful candidate would be a qualified company secretary. There may be times throughout the year where the candidate is asked to assist in the minute taking of certain client meetings and be responsible for helping the wider team build high quality board packs and other reporting.
- The successful candidate will need to think and act dynamically with the ability to work closely with others within the team, including members based in the UK. They must have a keen attention to detail with excellent organizational / time management skills which can be competently utilized to manage a busy and varied BAU agenda.
Primary responsibilities and duties of the role/wider team:
- Share capital management - the full buyback and issuance process, to include announcement, minutes, companies house forms
- Invoice processing - standard / repetitive invoices
- Directors' Pay - liaising with Paycheck - increases in Director pay / new directors / retiring directors/ checking Q salary payments. Keeping the Directors' fees schedule updated
- Debenture / loan note compliance - to include payments of interest on debentures and loan notes, managing Debenture and loan note compliance management / certificates
- Dividends - maintain a schedule of dividend payments for all the trusts. Set up a schedule at the beginning of each year and maintain to ensure announcements are released / payments are made on time
- Standard regular announcements - Keep a schedule of standard regular announcements to ensure they are released, to include closed period announcements and quarterly NAVs for certain trusts.
- New Directors - Own the new Director process to include obtaining the required information from each Director, production of appointment letters, Directors' pack.
- Maintenance of Blueprint
- Adhoc checking of Annual Report / maintenance of a changes register.
- Monitor process flows to improve efficiencies and drive improvements
- Perform Diligent administration and collation of Board papers, offering high level reviews and oversight.
Candidate skills, experience and knowledge:
- Product Knowledge - understanding of the structure of UK Funds, including Investment Trusts
- Client focused - Essential to have a client centric mindset with a commitment to integrity, fairness and responsibility. Flexible "can do" attitude with ability to support others and work across teams.
- Technical knowledge - Microsoft Office and Excel competence including charting, macros and formulated templates.
- Communication skills - Must have excellent communication skills, ability to multi task, identify, research and resolve unfamiliar and/or complex issues.
- Individuals - must demonstrate company core values.
