Responsibilities :
- Identify leads for the M&A and corporate finance opportunities through a structured deal flow process with a focus on healthcare, pharmaceuticals and consumer businesses
- Valuation of businesses under various approaches/models across sectors
- Finalize investment dockets (Info memo, financial model, term sheets and ancillary transaction collateral) for transactions.
- Handling complex deal collaterals including financial models, valuation analysis, deal structures, and investment pitches.
- Preparing Investment appraisal based on financial model, market benchmarking and position the transaction effectively. This will include review, vetting and finalization of definitive agreements; Negotiate key terms with parties to ensure timely execution; advise appropriate transaction structures.
- Spearheading the transaction taking ownership of client deliverables from beginning to end - Liaison with respective stakeholders.
Investment Banking Research
The key responsibilities of the candidate include :
1. Obtain business understanding of target company by undertaking discussions with management. Perform secondary research on the company and industry.
2. Analyse historical financial and operational results of target companies by reviewing financial statements and management accounts.
3. Execute due diligence engagements by liaising with target management to obtain information via virtual data rooms. Perform required procedures to analyse information received.
4. Identify key risks and opportunities relevant to the proposed transaction and compile due diligence findings in a report.
5. Prepare of financial models/business plans from scratch based on assumptions provided by client management.
6. Undertake Enterprise Valuation using Discounted Cash Flow and Relative valuation methods.
7. Prepare Information Memorandums, Pitch decks and teasers for sell-side engagements.
8. Maintain strong client focus by being responsive to client requests and developing/maintaining productive working relationships with client personnel.
9. Stay informed of current business, economic and regulatory developments relevant to our clients.
10. Assist in engagement administration, including maintaining files, managing timelines, and reporting hours and expenses for budgeting purposes.
Financial Due Diligence :
- Handling financial due diligence engagements.
- Analyze financial and operational results of businesses to be acquired or sold through
reviewing accounting records and conducting interviews with management.
- Identifying negotiation factors for purchase price and deal structuring.
- Constantly researching industry trends and technologies, as well as seasonality and cyclicality on cash flow requirements to provide knowledge and insight to clients.
You must have :
- A bachelor's/master's degree in Accounting or Finance and minimum 5 years of related work experience; or a graduate degree and approximately 5 years of related work experience supported by an active CPA certification.
- Excellent analytical skills and the confidence to translate complex data into meaningful insights.
- The ability to prioritize effectively on projects and the skills to adapt quickly to new challenges and concepts.
- Excellent negotiation and influencing skills, and the ability to develop long-lasting relationships both internally and externally.
- Must be willing and able to travel.
