Job Description: We are currently seeking an Experienced Qualified Company Secretary to join our dynamic team. As a Company Secretary, you will play a crucial role in ensuring that our organization complies with all legal and regulatory requirements, as well effective handling of Board and Senior management team.
Responsibilities:
1. Corporate Governance: Ensure compliance with all relevant legislation, regulations, and corporate policies. Advise the board of directors and senior management on corporate governance matters and implement best practices.
2. Board Support: Coordinate and prepare board and committee meetings, including agendas, minutes, and resolutions. Provide administrative support to the board, including the organising board meetings, board evaluations and director training and development.
3. Legal Compliance: Monitor changes in relevant legislation and regulations and ensure the organization's compliance. Provide advice on legal issues, contracts, and company policies.
4. Shareholder Relations: Manage relationships with shareholders and other stakeholders. Coordinate and organise Annual General Meetings and ensure compliance with all statutory requirements.
5. Records Management: Maintain accurate and up-to-date corporate records, including the company's register of members and directors etc., Ensure proper ROC and other filings and accountability of all corporate documents.
6. Corporate Secretarial Duties: Prepare and file statutory forms and returns with the relevant authorities. Coordinate the process of company formations, mergers, acquisitions, and other corporate transactions.
7. Risk Management: Identify and assess areas of potential risk and develop strategies to mitigate them. Ensure that appropriate risk management processes and controls are in place.
8. Compliance Monitoring: Develop and implement compliance monitoring programs to ensure adherence to legal and regulatory requirements. Conduct internal audits and reviews to identify any areas of non-compliance and recommend corrective actions.
9. Stakeholder Communication: Facilitate effective communication between the board, management, and shareholders. Prepare and distribute corporate communications, such as annual reports, MoMs, and announcements.
Qualifications:
- Qualified Company Secretary -and added advantage if they are having degree in Law.
- Minimum of 6-12 years of experience as a Company Secretary in a corporate setting.
- In-depth knowledge of corporate governance practices and legal and regulatory requirements.
- Strong understanding of company law and compliance.
- Excellent organizational and time management skills.
- Exceptional communication and interpersonal skills.
- Strong attention to detail and accuracy.
- Ability to work independently and handle confidential information with discretion.
- Proficient in MS Office applications.
