Job Title: Head of Secretarial Affairs, Audit and Compliance

Department: Finance


Job Purpose:


This senior leadership position plays a crucial role in overseeing the company's secretarial affairs, audit functions, and ensuring compliance with regulatory requirements and internal policies. Responsible for developing and implementing robust governance, risk management, and compliance frameworks to safeguard the interests of the company and its stakeholders.

Key Accountabilities:


Description KPI:

Secretarial Affairs Management:

- Oversee all aspects of corporate governance, including board and committee meetings, resolutions, and regulatory filings.

KPIs Vs Achievement:

- Managing administrative and secretarial functions within the organization, such as maintaining corporate records, organizing board meetings, and ensuring compliance with

- Provide guidance and support to the board of directors and senior management on corporate governance matters.

- Ensure compliance with applicable laws, regulations, and corporate governance best practices.

- Manage the company's corporate records, including minutes, resolutions, and other legal documents.

- Liaise with external legal counsel and regulatory authorities as needed.

Audit Oversight:

- The Head of Secretarial Affairs, Audit, and Compliance is responsible for overseeing the audit process, including both internal and external audits. They ensure that audits are conducted efficiently, accurately, and in accordance with relevant standards and regulations Successful compliance audits, effective risk mitigation, and contributions to strategic financial goals.

Compliance Management:

- Ensuring compliance with laws, regulations, and internal policies is a critical aspect of this role. The head of this department is responsible for developing and implementing compliance programs, monitoring compliance activities, and providing guidance to ensure adherence to applicable laws and regulations. Nil non-compliance with regulation

Risk Assessment and Management:

- Identifying and assessing potential risks to the organization's operations and reputation is another key responsibility. This involves conducting risk assessments, developing risk mitigation strategies, and implementing controls to minimize risk exposure.

Policy Development and Implementation:

- Developing and implementing policies and procedures related to governance, audit, and compliance is essential for maintaining organizational integrity and meeting regulatory requirements.

- Educating employees about relevant laws, regulations, and compliance requirements is crucial for fostering a culture of compliance within the organization. The head of this department may be responsible for developing training programs and conducting educational sessions to ensure staff members understand their responsibilities

- Maintaining accurate records and preparing reports for internal stakeholders, regulatory authorities, and external auditors is an important aspect of this role. The head of this department ensures that all documentation is complete, accurate, and compliant with applicable regulations.

Qualification, Experience, And Skills:


Qualifications:


- Bachelor's degree in business, finance, accounting, law, or a related field; advanced degree or professional certification (e.g., CA, CPA, CIA, CS, or equivalent) preferred.

Experience:


- Minimum of 15+ years of relevant experience in corporate governance, internal audit, compliance, or a related field, with 5 years in a leadership role.

Communication & Working Relationships:


Internal:

- Exceptional communication and interpersonal skills, with the ability to interact effectively with all levels of the organization.

- Proven ability to manage multiple projects simultaneously and drive results in a fast-paced environment.

External:

- Strong understanding of corporate governance principles, regulatory requirements, and industry best practices.
