SUMMARY OF THE OVERALL JOB
- Lead efforts in identifying inorganic growth opportunities focusing on acquisitions that are in line with the overall business direction
- Drive thorough due diligence for all potential deals identified and agreed upon for pursuing, by setting up systems and processes to ensure higher success rates of deals
- Establish and implement fund raising strategy for Equity and Debt to deliver M&A plan
- Drive the smooth execution of the key mandates around fund raising

- Deliver M&A agenda for the company to delivery significant inorganic growth in key select markets
- Deliver adequate funds via Equity and Debt to meet M&A growth requirement
KEY FUNCTIONS / RESPONSIBILITIES -
- Lead efforts in identifying inorganic growth opportunities focusing on acquisitions that are in line with the overall business direction
- Engage with the business to understand the area of inorganic growth identified for the company.
- Build network of bankers / consultants to build robust pipeline of targets
- Discuss and identify potential targets within the identified area of growth in consultation with business teams
- Develop the strategy and approach to reach out to each of the identified targets
- Analyze the plans, recommendations and investment proposals
- Provide guidance to the business teams on an ongoing basis in identifying and assessing opportunities
- Drive thorough due diligence for all potential deals identified and agreed upon for pursuing, by setting up systems and processes to ensure higher success rates of deals
- Oversee conversations with potential sellers to ensure that the terms and conditions discussed are favourable to the company.
- Oversee assessment of deal structures, opportunities, valuation drivers, and financial reporting implications across the options and provide relevant inputs
- Establish business case for approval with President in collaboration with Business
- Lead M&A review with board members to seek final go ahead and offer price
- Lead appropriate due diligence across all key areas [Finance, Tax, Legal, Operations, Regulatory, etc]
- Drive effective deal negotiation and identification & management of potential value leakage in the closing/ post-closing phases of a transaction from contractual items to capital-raising to integration preparation and beyond
- Drive the smooth execution of the key mandates around fund raising
- Determine the approach and sources of fund raising for including identification of relevant external partners
- Lead roadmap to getting ready for IPO in next 2-3 years.
- Lead set up of appropriate structure for effective repatriation of funds, optimization of tax and treaty benefits.
- Lead the documentation and communication process for deals being undertaken in order to share consistent information across stakeholders
- Review the content going out to all stakeholders and establish guidelines for sharing information
- Ensure timely report and analysis through the team to enable accurate information sharing
- Disseminate detailed deal information in forums such as deals committee / President Office
