Job Description - Head of Legal (Litigation & Corporate Legal)

Location: Gurgaon

Industry: Housing Finance

Experience: 18+ years in litigation and corporate legal, preferably in housing finance, NBFCs, or banking

Key Responsibilities:

1. Litigation Management:

- Oversee and manage all legal disputes, including loan recovery, fraud, regulatory compliance, and contractual disputes.

- Handle SARFAESI, DRT, NCLT, and High Court cases, ensuring effective legal representation.

- Liaise with external counsels, law firms, and regulatory authorities for case management.

- Develop litigation strategies to protect the company's interests and minimize legal exposure.

- Ensure timely filing of legal notices, responses, and appeals.

2. Corporate Legal & Compliance:

- Draft, review, and negotiate high-value contracts, loan agreements, MoUs, and vendor agreements.

- Ensure corporate governance and compliance with Companies Act, FEMA, and NHB/RBI guidelines.

- Provide legal advisory on corporate structuring, mergers & acquisitions, and regulatory filings.

- Conduct due diligence for transactions, partnerships, and expansion projects.

3. Risk Mitigation & Advisory:

- Advise senior management and board members on legal risks and corporate strategies.

- Implement legal risk frameworks to safeguard company assets and operations.

- Monitor legal developments and update company policies accordingly.

4. Contractual & Transactional Support:

- Ensure legal soundness in financing transactions, including loan securitization, collateral structuring, and debt restructuring.

- Negotiate and structure contracts to mitigate financial and operational risks.

- Support compliance teams in addressing regulatory inspections and audits.

Key Qualifications & Skills:

Education: LLB/LLM from a reputed law school. Additional certifications in corporate law or litigation are a plus.

Experience: 18+ years in litigation and corporate legal roles, preferably in housing finance, NBFCs, or banking.

Technical Expertise: Strong knowledge of SARFAESI, IBC, DRT, Companies Act, FEMA, and NHB/RBI regulations.

Soft Skills: Strong negotiation, problem-solving, and stakeholder management skills.
