Head - Legal (EPC)

- Have in-depth knowledge of all Contract and Commercial laws, such as Contract Act, Companies Act, Intellectual Property Laws, and Insurance etc.

- Work experience in commercial and corporate law practice will be an advantage

- Be responsible for all legal matters including but not limited to tender and contracting stage legal advice and representing the department on all tender/contract related matters

Independently responsible :

- Drafting, vetting and negotiation of EPC and EPCM contracts with the clients,

- Drafting of various contracts and agreements such as EPC contracts, O&M contracts, High Seas Sale agreement, Joint Venture agreements, Consortium agreements, Confidentiality agreement, Letters of Intent, Non-Disclosure Agreements, MoU, Escrow agreements, Service Agreements, Power of Attorney etc

- Title Search, Land Due Diligence, General Conveyancing etc

- Legal aspects of Development of Commercial & Industrial Complexes & Parks, Build to Suit Campuses etc.

- Leases, License, Mortgages, Gifts, Partitions, Sale Deeds, Agreement to Sale etc.

- Compliances with provisions of Corporate laws, Labour laws, Commercial laws, Industrial laws etc

- Shareholders Agreement, Share Purchase Agreement, Reviewing Tender documents, Project Financing agreements, Construction Finance documentation, Patent applications etc.

- Handling litigation and legal notices, arbitration, filing civil and criminal suits etc.

- Providing support to across teams for ensuring compliance with all applicable laws

- Identify critical issues in the contract during contracting stage and suggest means to address or mitigate them.

- Working out a comprehensive legal MIS covering issues to compliances, pending matters etc

- Providing legal advice and guidance on all kinds of legal matters

- Coordinating with external legal consultants and counsels

- Performing legal research and writing case notes on various corporate issues

Qualification, Experience & Skill Sets :

- LLB with 15 + work experience in EPC Co's

- In-depth knowledge of contract and commercial laws including its implications and applications, such as contract act, intellectual property laws, insurance etc.

- Good understanding of various labour laws, direct and indirect tax laws etc

- Strong knowledge about general and corporate laws and regulations

- Excellent written and verbal communication skills

- Excellent negotiation skills for dealing with clients / customers

- Ability to work and perform under stress situations

- Must be well organized and disciplined in work

- Pro-active approach

- Must have managed a team
