Legal Head (Large Industrial Conglomerate)
As the Head of Legal, you will be responsible for overseeing and managing all legal matters within an organisation and managing multiple business units off the organisation.
Other key responsibilities include:
Strategic Operation:
- Developing and implementing the organization's legal strategy to be aligned with the business focus.
- Providing strategic legal advice to the executive team members and owners on strategic decisions.
- Ensuring that all subsidiaries are in compliance with both the local and international standard, laws and regulations.
- Staying up to date with changes in relevant laws and regulations that will impact the organisation.
Stakeholders Management/Leadership:
- Lead and manage a team of legal professionals, including attorneys and paralegals.
- Providing guidance, mentorship, and support to ensure the team's performance development.
- Setting up objectives and ensuring that the team's culture is being built on.
- Working closely with other departmental leadership and other key stakeholders.
Expertise:
- Identifying and managing legal risks and developing strategies to mitigate potential liabilities.
- Collaborating with external counsels when necessary. At times, you are expected to work closely with other professionals (investment bankers, foreign investments)
- Providing advice to the executive team members and board of directors on corporate governance matters and ensuring compliance with the corporate governance.
- Conducting thorough legal due diligence on targeted companies - includes reviewing contracts, financial statements, litigation history - identifying any potential risks.
- Handling cross-border trade, investments and understanding regulatory compliance outside Indonesia when required.
- Providing advice in structuring, and negotiating international transactions, including merger & acquisitions, joint ventures, and strategic alliances.
- Working in a team to provide legal considerations when establishing operations in foreign countries.
Qualification And Experience:
1. LLB with 15+ Years of Experience in Large Industrial Conglomerate & having Strong knowledge of international law, M&A, corporate governance, commercial law, Arbitration, Legal disputes, Contractual, writ petitions, Litigation management, CCI Matters regulatory related.
2. Experience working closely with a Board of Directors on a broad range of legal and business issues, governance matters and corporate strategy.
3. Considerable knowledge of, and experience in, the software and/or SaaS sector. Must have solid knowledge of compliance matters and local & international, rules and regulations that affect the company.
4. An outstanding team player who is inherently proactive, driven, collaborative, dedicated, and possesses the ability to develop first class relationships, both internally and externally.
5. A smart, innovative, strategic thinker, yet pragmatic and operationally savvy, with a strong commitment to building true shareholder value.
6. Someone at ease in a changing organization and industry and able to excel by operating with a sense of urgency while remaining flexible, open-minded, and adaptable.
7. Hands-on attitude and one with strong leadership skill.
8. Good personal skills, strategic thinking and excellent attention to detail is a must.
