Role:

A Facilities Management Conglomerate is looking for an experienced and highly talented attorney-at-law to join their Group Legal team and assist with a broad palette of legal matters in particular corporate law, M&A and commercial contract law. The Legal Counsel will work closely with the company's Top Executive Team, Group functions as well as regional and country teams.

Group Legal team:

The Group Legal team is one of the core functions at the organisation and plays a key role in advising top management, driving the governance and compliance agenda as well as assisting in transactional activities such as global/regional outsourcing agreements, global procurement deals and M&A transactions.

Global and regional outsourcing contracts Company has been successful in agreeing on global and regional facility services contracts with multinational companies. This requires a new commercial and delivery approach, and company Group Legal team has an important role to play in client pitches and negotiations as well as contract drafting.

Listing rules, Capital Markets and Financing Company Group Legal team is a key contributor to all relevant projects, which are related to refinancing and its position as a listed company.

M&A and divestment transactions Company Group Legal team assists in all activities related to corporate acquisitions and divestments.

Employment law : Company is a global organisation and experiences a natural turnover among executives across the organisation. The Group Legal team assists the corporate HR function in drafting and negotiating employment agreements related to senior management recruiting, separation agreements and secondment agreements.

Corporate governance, risk management and compliance : Company Group Legal team develops policies and deploys training programs in various areas in respect of governance setup for subsidiaries, contracts and compliance policies such as competition law and anticorruption policies.

Responsibilities:

- Legal support to the Executive Management, Regional Management teams and group functions.

- Transaction support on international and regional outsourcing agreements.

- Assistance on M&A and divestment activities.

- Legal analysis and support, including legal risk assessment, on contracts and tenders.

- Support on company law, listing rules, capital markets activities and refinancing projects.

- Contract drafting related to senior executive employment agreements.

- Governance and Compliance policies and training programmes.

- Developing and deploying global legal policies, procedures and processes and facilitating communication and best practice sharing throughout the legal community in the company.

- Contribute to development and improvement of the Legal Department's efficiency and effectiveness in line with best practice for an in-house function and the needs of the business.

- Ensuring that all legal advice is delivered to a high standard, within timeframes required by the business and in a manner that meets business needs.

Candidate Specifications:

Ideal Experience

- A minimum of 10 years of professional experience from a recognized law firm and/or in-house legal function within an MNC.

- Solid expertise in corporate law, M&A and commercial contract law.

- Experience working as a legal advisor and business partner to large international clients advising at Executive Management and General Counsel Level.

- Fluent in English (written and oral).

- MSc in law (LL.M) from a reputable university is required.
