Organisation : Our client is a manufacturing domain client with art of manufacturing in Uttrakhand & Andhra.
Experience : 15 - 22 Years
Education : CS, member of the Institute of Company Secretaries of India (ACS), and Preferably a Post-Graduate with Legal specialization.
Job Role : This role is responsible to facilitate the management and resolution of a diverse range of legal, regulatory and compliance matters. Role holder needs to ensure compliance to corporate laws, draft and vet contracts, manage insurances and litigations.
Responsibilities :
- Advise management and board members frequently about new provisions and amendments in relevant acts, ensure implementation of directions of the Board.
- Manage compliance of Corporate laws, Securities Law, FEMA and all the applicable laws.
- Handle administration of Compliance management system.
- Manage Insurance policies and claim settlement.
- Manage litigation, drafting, vetting and negotiation of agreements and legal documents .
- Ensure compliance to Company law, FEMA laws, Securities laws, Secretarial standards and other applicable laws.
- Ensure quarterly board meetings and annual general body meetings are successfully conducted as per schedule and maintain all pre and post meeting compliances.
- Establish the Corporate Governance standard and make improvements in legal practices of the company as per changes in legal environment.
- Ensure that the operations of the Company are done within the established Corporate Governance.
- Ensure all returns to RBI, stock exchanges, registrar of companies are done in a timely manner and maintain statutory registers as required.
- Ensure completion of Secretarial audit, Corporate Governance Audit and responding to the queries of Statutory Auditor.
- Coordinate with lawyers for drafting and responding to notices, provide support for filing and defending the company in any litigation.
- Supervise filing of civil/criminal/company petitions, suits and criminal complaints before courts/arbitration or any other appropriate authority.
- Ensure renewal of agreements on time in coordination with concerned departments.
- Manage all insurances for the organization and ensure that all the assets should be adequately covered under insurance.
- Manage insurance claim settlement related to IAR and Marine policies.
- Act as the custodian of the compliance management system software, ensure implementation of changes in the system and update compliance users about applicable changes.
- Handle compliances and transaction of group companies and audit of group companies.
- Review team's performance on a monthly basis and provide regular feedback.
- Manage performance development, career aspirations and mobility of the team members as per business needs.
- Identify functional training needs and facilitate training to ensure capability development of the Legal team members.
- Identify behavioural developmental needs and facilitate necessary training to enhance effectiveness/motivation levels of the team.
- Promote a responsive work environment in which employees' productivity is enhanced through organizational culture, people philosophy and values.
