Head - Legal - BFS

Job Description : 

- Responsible for Legal Function handling MDA, Debt & Equity Transactions as well as Capital Market transactions

- Restructurings, acquisitions, collaboration and other contracts

- Includes transactions such as corporate restructuring, acquisitions, hive off's, share acquisitions, share transfer, JV restructuring etc

- Giving legal advice on any legal Contract issues that may be referred

- To handle all strategic advisory matters and transactions i.e. joint the venture, share acquisition, share transfer, M&A, business acquisition (including new businesses & other restructuring matters.

- Handling such transaction includes preparation/vetting of initial documents such as NDAs, MOU/letter of intent/term sheet etc.; review of relevant existing agreements (if any); opinions of any key issue; negotiation of the key terms with the other party; drafting/review, negotiation and finalization of the definitive transaction documents etc.

Back up Support :

- Negotiating engagement & fee terms with external counsels [existing counsels - engaged transaction wise

Equity & Capital Market Transactions :

- Reviewing and vetting all the documents related to Equity & Capital

Market transactions :

- Engaging/hiring external counsels based on their qualifications etc. wherever there is no pre-existing arrangement

- Legal assistance & advice w.r.t. new biddings.

- To develop SOP's (Standard Operating Procedures for the working of the Legal Department) as and when required.

Skills And Knowledge Requirement :

- Sound legal knowledge on transactions

- Good negotiation skills

- Good experience on interaction with law firms.

- Minimum 20 + years of transaction experience in Law Firms / Large Corporates
