Job Description: Head of Equity Capital Markets (ECM)
Position: Head of Equity Capital Markets (ECM)
Experience: 10-12 years in ECM
Educational Qualification: CA/CS/MBA preferred
Roles & Responsibilities:
- Leadership Role: Lead the ECM division, overseeing the strategic direction, execution, and growth of equity capital market transactions for the firm.
- Client Relationship Management: Serve as the primary point of contact for high-profile clients, managing relationships and ensuring successful transaction execution.
- ECM Transaction Expertise: Must have led multiple ECM transactions, including IPOs, QIPs, Rights Issues, Buybacks, and Open Offers.
- Strategic Coordination: Collaborate closely with senior leadership, Investment Banking, Legal, Compliance, and Finance teams to drive ECM initiatives and transactions.
- Oversight of Document Preparation: Guide the preparation of offer documents for ECM transactions (IPOs, QIPs, Rights Issues, Buybacks, Open Offers, Delisting, etc.), ensuring regulatory compliance and completeness.
- Due Diligence Supervision: Oversee the due diligence process, ensuring accuracy and thoroughness in all transaction-related materials, while managing interactions with legal and compliance teams.
- Regulatory Expertise: In-depth knowledge and application of SEBI ICDR Regulations, LODR, Buyback Regulations, Open Offer Regulations, the Companies Act, and other relevant regulatory frameworks for ECM.
- Regulatory Compliance & Coordination: Ensure the offer documents meet all regulatory requirements (SEBI, stock exchanges), coordinating with legal, compliance teams, and regulatory bodies to resolve any issues.
- Deal Execution: Lead the end-to-end execution of ECM transactions, overseeing the entire process from inception to closing.
- Team Leadership: Manage and mentor a team of ECM professionals, ensuring high standards of performance, client satisfaction, and operational excellence.
- Project Management Excellence: Oversee multiple transactions simultaneously, maintaining timelines, managing resources, and meeting strict deadlines.
- Analytical & Problem-Solving Skills: Leverage strong analytical and problem-solving skills to navigate complex transaction structures and resolve challenges.
- Communication & Stakeholder Management: Strong communication and negotiation skills to collaborate effectively with clients, regulatory bodies, and internal teams.
- Financial Modeling & Advisory: Oversee the preparation of financial models, information memorandums, and other marketing materials for institutional investors, and provide strategic advisory to clients.
- Business Development & Pitches: Lead business development efforts, including preparing and delivering high-impact pitches and presentations to potential corporate clients and investors.
