Head - Corporate Legal - Manufacturing

Responsibilities :

- Provide strategic support on business transactions (M&A, Divestment including sale/purchase of immovable property etc.) carry out legal due diligence, assess overall regulatory and compliance risks, identify and address key corporate law issues, such as those arising from the Companies Act, SEBI regulations like the takeover code, insider trading etc., RBI, assist in structuring, preparing documents, participate in negotiations and all related activities to ensure required business objectives are achieved effectively

- Advise on, and draft and vet the documents on various financing related transactions and contracts as well as other diverse legal contracts / documents, including loan agreements, derivative contracts, property agreements, etc. Negotiate with the opposite parties and achieve terms and conditions most favourable to the business purposes of the Company

- Build capability of the legal department; be an effective mentor.

- Handling arbitrations, and investigations by authorities; coordinating with the business units and with external lawyers, researching laws, tracking progress of and guiding the strategy as well as ensure adequate defence in important cases. Assisting advising and strategizing for achieving business objectives in various areas.

- Oversee the tasks handled by the subordinates viz. vetting of various documents required to be executed by the company viz. Confidentiality Agreements, Leave and Licence Agreements, Indemnity Bonds, Affidavits, correspondence with internal /external parties etc

Qualification - LL B.

- However Candidates with dual qualifications, an LLM & CS will be preferred

- Minimum 15 years of experience preferably in a large manufacturing organization OR with Varied exposure in law firms
