Objective :  Accomplishes compliance business objectives by producing value-added employee results; offering information and opinion as a member of senior management; integrating objectives with other business units; directing staff.  KEY RESPONSIBILITIES / ACCOUNTABILITIES :  - Accomplishes compliance human resource strategies by determining accountabilities; communicating and enforcing values, policies, and procedures; implementing recruitment, selection, orientation, training, coaching, counseling, disciplinary, and communication programs; planning, monitoring, appraising, and reviewing job contributions; planning and reviewing compensation strategies.  - Develops compliance organizational strategies by contributing information, analysis, and recommendations to strategic thinking and direction; establishing functional objectives in line with organizational objectives.  - Establishes compliance operational strategies by evaluating trends; establishing critical measurements; determining production, productivity, quality, and customer-service strategies; designing systems; accumulating resources; resolving problems; implementing change.  - Develops compliance financial strategies by estimating, forecasting, and anticipating requirements, trends, and variances; aligning monetary resources; developing action plans; measuring and analyzing results; initiating corrective actions; minimizing the impact of variances.  - Protects assets by establishing compliance standards; anticipating emerging compliance trends; designing improvements to internal control structure.  - Avoids legal challenges by understanding current and proposed legislation; enforcing regulations; recommending new procedures; complying with legal requirements.  - Attracts new clients by maintaining state-of-the-art compliance programs; bringing compliance recognition to the company; providing leadership in the industry.  - Updates job knowledge by participating in educational opportunities; reading professional publications; maintaining personal networks; participating in professional organizations.  - Enhances compliance and organization reputation by accepting ownership for accomplishing new and different requests; exploring opportunities to add value to job accomplishments  - Proven efficient editing, reviewing and contract drafting skills (excellent writing skills.  - Corporate secretarial experience required (preparation of legal corporate documents of the company, such as board resolutions, power of attorneys, financial arrangements documents etc.);  - Review or create contracts and other agreement documents and participate in contract negotiations; ensure that contracts are executed by appropriate parties;  - Assist the Contract, Technical and Procurement function in their interaction with the contractors, vendors, and suppliers etc. to ensure they remain compliant with their underlying contracts. Coordinate internal functional teams to effectively address customer's contract requirements;  - Ensure the rights and assets of the project company are properly guarded in the signing and execution of agreements, construction contracts, services, employments contracts, commercial contracts, etc. Responsible for the analysis of contractual disputes with contractors and counterparts;  - Responsible for the planning, organization and control of legal proceedings, administrative dispute, Governmental inquiries, litigation, arbitration, regulatory and labour matter with impact over the project;  - Prepare Legal Notices, Plaints, Written Statements, Writ Petitions, Appeals, Case Papers, Affidavits, etc. for legal proceedings under various statutory acts;  - Appearing before courts (High Courts, Civil Courts, Criminal Courts & Labour Courts), Forums and Regulatory Authorities for resolving critical issues. Briefing Counsels on various cases and planning the strategies/procedures to be followed;  - Review new or changed legislation and determine its impact on the project; track and manage regulatory changes; provide advice to the project to ensure its compliance.  - Assist in litigation matters, drafting and reviewing of pleadings (petitions, written statements, plaints, re-joinders, replies etc.). Conduct of research (case law and otherwise) for the purpose of litigation and related issues. Evaluate findings and develop strategies and arguments in preparation of presentation of cases. Liaise with all external counsel as may be required.  - Providing assistance in the day to day functions of the project by providing legal support and drafting & reviewing corresponding agreements that may be required.  PROFESSIONAL EXPIERENCE / QUALIFICATIONS  - Law degree from recognised university in India.  - An Associate Member of the Institute of Company Secretaries of India  - 8-10 years Experience in Compliances & Secretarial work gained in a top tier law firm or in-house, preferably in an international company.
