Role Objective:
The Company Secretary will play a pivotal role in ensuring the organization adheres to corporate governance standards, legal frameworks, and regulatory compliance requirements. Acting as a trusted advisor to the Board of Directors and senior management, the incumbent will drive governance excellence, ensure seamless secretarial practices, and oversee corporate risk management.
Key Responsibilities:
Corporate Governance:
- Uphold compliance with corporate governance standards, laws, and regulations.
- Provide strategic advice to the Board of Directors on governance frameworks and best practices.
- Plan, organize, and execute Board meetings, Annual General Meetings (AGMs), and other corporate events, ensuring timely and efficient delivery.
Regulatory Compliance:
- Monitor and enforce compliance with relevant legislation and sector-specific regulations.
- Prepare and file statutory documents with regulatory authorities, maintaining accurate and up-to-date records.
- Serve as a liaison with regulatory bodies to address compliance matters and queries.
Secretarial Services:
- Draft, review, and maintain minutes of Board meetings, committee sessions, and AGMs.
- Oversee statutory filings, maintenance of registers, and preparation of annual reports in compliance with legal standards.
- Ensure timely submissions of all compliance documentation.
Risk Management:
- Identify corporate governance and compliance risks, proposing mitigation strategies.
- Develop and implement internal policies and controls to minimize risks and ensure robust compliance mechanisms.
Legal Advisory:
- Provide legal counsel on corporate matters, including contracts, mergers and acquisitions, and other strategic initiatives.
- Collaborate with external legal advisors and teams on complex matters.
Team Leadership:
- Lead and mentor the Company Secretary team, fostering a culture of collaboration and excellence.
- Effectively manage departmental resources and budgets.
Stakeholder Engagement:
- Act as the primary point of contact for shareholders, regulators, and other stakeholders.
- Ensure transparent and effective communication on corporate governance and compliance matters.
Qualifications and Experience:
- Experience: Minimum of 10 years in company secretarial roles, including significant experience in senior or managerial capacities.
- Education: A qualified Company Secretary with membership in the Institute of Company Secretaries of India (ICSI).
