Head Company Secretary & Legal (Large Industrial Conglomerate)
The incumbent will be handling all the company secretarial responsibilities for THE GROUP Enterprises and CS & legal responsibilities for THE COMPANY Ltd.
Key Responsibilities:
Secretarial:
- As a Company Secretary & Head Legal, you will play a crucial role in ensuring the company's compliance with legal and regulatory requirements, ROC Compliance, RBI Compliance, corporate governance, and providing strategic legal counsel.
- Conducting Board Meetings & General Meetings, issuance of Notices, Drafting Agendas, Recording Minutes and Preparing Annual Report/Corporate Governance Reports.
- Handling Mergers/Demergers, Technical Collaborations and Re-structuring with Due Diligence for Corporate actions.
- You must have exposure and be thoroughly conversant with the Rules and Regulations of the following: Companies Act, 1956 and 2013, The SEBI Act, 1992, SEBI Guidelines, The Foreign Exchange Management Act, Listing Agreement of the Stock Exchanges, Depositories (NSDL & CDSL) Act and Rules thereunder for pre and post listing compliances, etc.
- Providing comprehensive legal services, across a broad range of issues ensuring all activities are within the legal requirements and risks are mitigated appropriately.
Legal:
- Complete responsibility for managing all legal matters.
- Drafting, vetting, negotiation and finalization of various Agreements like Service Agreements, NDA, Software Agreements, Subcontract Agreements, Lease Agreements etc.
- Handling various Arbitrations, writs, and other litigations, etc.
THE GROUP Enterprises:
- Centre of Excellence (COE) for CS: COE is committee of functional heads, a platform to share best practice, leverage opportunities at group level and knowledge sharing. The candidate will be the Chairperson of COE and will represent COE on group level. As a chairperson will be responsible for:
a) Conducting and convening the discussions &. Setting the agenda for all meetings.
b) Finalizing roadmap and action points & Updating Chairman on the progress.
Qualification And Experience:
1. Company Secretary & LLB & Should have experience of Company Secretarial responsibilities with legal responsibilities of 16+ Years in a large and listed corporate entities having professional Board of Directors.
2. Knowledge of SEBI regulations, LLPs, Trusts, Companies Acts is needed.
3. Strong knowledge of Legal services and Risk Management.
4. Policy Development, Regulatory Compliance, Contract Negotiations Skills.
5. Good Drafting Skills; and
6. Good Communication Skills, Leadership and Management Skills.
