Job Summary:
The Head Company Secretary & Compliance Officer will have a primary focus on overseeing the companys Company Secretarial (CS) functions (70%) while managing legal matters (30%). This includes ensuring compliance with statutory requirements, managing secretarial functions for board and shareholder meetings, and providing legal advice and support. The role requires a strategic approach to corporate governance, legal documentation, compliance, and litigation management.
Role & responsibilities :
Company Secretarial Functions (70% Focus):
- Oversee all Company Secretarial responsibilities, ensuring strict compliance with the Companies Act and other relevant regulations.
- Lead the preparation of agendas, board meetings, and shareholder meetings, ensuring compliance with all statutory obligations.
- Maintain accurate records of board and shareholder meetings, including minutes, resolutions, and filings with relevant authorities.
- Prepare and file all statutory returns, forms, and documents with regulatory bodies such as the Registrar of Companies (RoC), ensuring timely compliance.
- Coordinate and ensure the timely completion of corporate governance processes, including board compositions, director inductions, and compliance with governance frameworks.
- Implement and maintain effective procedures for managing corporate secretarial matters and corporate records.
Corporate Governance & Compliance:
- Performing the overall Secretarial function and Corporate Affairs, ensuring compliances with the statutory requirements and regulations prescribed under the Companies Act, SEBI LODR, SEBI Prohibition of Insider Trading (PIT), SEBI Substantial Acquisition of Shares and Takeovers (SAST) Regulations and provisions of all other applicable Corporate Secretarial laws
- Ensure adherence to best practices in corporate governance, including compliance with CSR regulations, board processes, and relevant industry standards.
- Act as the Companys Compliance Officer, ensuring regulatory compliance across all business activities.
- Ensure timely compliance with all relevant regulations such as the MSME Act, IPR, and other applicable laws.
Legal Documentation & Drafting (30% Focus):
- Draft, review, and vet a range of legal documents, including commercial contracts, tender documents, loan documents, MOUs, indemnity bonds, and service agreements.
- Advise management on key legal matters, ensuring that the company operates in compliance with applicable laws and regulations.
Litigation & Arbitration Management:
- Oversee the effective management of commercial, corporate, and consumer litigation matters, collaborating with external legal counsel where necessary.
- Manage arbitration matters and resolve disputes to minimize business risks.
Legal Advisory & Risk Management:
- Provide ongoing legal advice on complex issues, reviewing potential legal risks and recommending solutions to minimize business exposure.
- Support management in decision-making by ensuring that legal perspectives are incorporated into strategic discussions.
Cross-Functional Legal Support:
- Work closely with functional heads to assess legal implications and offer guidance on business strategies to ensure compliance.
- Review and advise on commercial contracts, partnerships, and joint ventures to mitigate risks.
Preferred candidate profile
Educational Qualification:
- Company Secretary (CS) qualification is a must.
- LLB (Bachelor of Laws) /LLM
Experience:
- Minimum 10 years of experience in Company Secretarial roles, with a strong focus on corporate governance, compliance, and statutory filings.
- Proven experience in managing legal documentation, contracts, and providing legal counsel.
- Strong experience in handling litigation and arbitration matters.
