Position - Group Manager - Secretarial & compliance, Reporting to Company Secretary - Diversity candidate only with relevant work experience with Listed Organizations. Job description : 1. Fully conversant with provisions of the Companies Act, 2013, SEBI Regulations, Listing Regulations & all other applicable laws as required for Listed Company and its Subsidiaries . 2. Well versed with All filings with SEBI/ Stock Exchanges / ROC/ MCA / other applicable regulators and disclosures in public domain including Website. 3. Assist in Preparation of Notice, Agenda and Minutes of Board Meetings including various Committee meetings, General Meetings, Circular Resolutions and Postal Ballot process. 4. Conversant with various Digital Tools and underlying compliances - Company Meetings ; Compliance Dashboard ; Insider Trading ; Related part Transactions etc. 5. Drafting of various policies and procedures mainly under Companies Act and SEBI Regulations. 6. Regular upkeep and digitization of various Statutory Records and Registers. 7. Liaising and coordination with the ROC , SEBI, NSE, BSE, NSDL, CDSL and various internal/ external agencies. 8. liaising with RTA on regular basis with focus on Dividend processing and IEPF related matters. 9. To handle matters relating to investor-relations and related documentation. 10. Full understanding of Secretarial compliances on implementation of corporate plans towards growth/ expansion including new acquisition, JVs, restructuring , fund raising etc. 11. Coordination with Auditors (Secretarial, Cost and Statutory Auditor for various Audit Matters). 12. Preparation of MIS for Management. 13. Any other additional strategic assignments from time to time as a standalone project or regular work.
