Group Legal Counsel - Pharma/Infra

Merger & Acquisition:

1. Lead, negotiate, close complex transactions involving multiple jurisdictions within Group and for the personal investment portfolio of shareholders as exclusive representative and a single point of contact for the third parties including the other side counsels for legal/commercial/tax negotiations on all aspects of the transactions and documentation from the inception till the closing of the transaction and work with the business team for post-closing obligations of the transaction.

2. This involves critical analysis and decision making for the level of due diligence required, sense the complexity in transaction structuring from legal and tax perspective to work out and benchmark the costs involved, minimize incidence of tax thru optimal structuring at all levels, documentation, closing and integration timing.

Challenges:

1. Understanding and structure varied nature of complex transaction across various jurisdictions globally.

2. Adhering to the strict time lines under various transactions while structuring, drafting, execution and completion of the complex assignments/ transactions with a view to minimize associated legal costs without hindering quality.

3. Developing integrated in house knowledge base in order to cater and provide timely legal support to all group members with a view to minimize dependence and thereby their cost of outside legal services.

4. Continuing learning and updating with global legal and commercial developments.
