Head - Risk & Complianc
Principal responsibilities include of corporate governance, risk management, audit & compliance aspects, transition, and integration for new acquisitions/entity transactions, and overseeing operations across the business group.
Roles and Responsibilities:
- Deployment of Enterprise Risk Management module encompassing:
- Sector specific & key strategic risks
- Anti-Bribery and Corruption (ABC)
- Cyber Security
- Environmental, Social Governance (ESG)
- Health, Safety and Security (HSE)
- Insurance
- System/Process gaps through Internal Audit
- Other Operational risks
- Developing & implementing enterprise risk management process for the organization -aligned with specific investor/Investment Manager requirements. Design, develop & deploy a robust framework that would essentially capture all legal, compliance, BI, Financial, - Strategic & reputational risks to the organization and assist the management team with risk mitigation plans.
- Working with the Deal team in identifying emerging issues arising from the rapid growth of the business and developing long-term solutions, further strengthening the foundation to support the continued growth of the business.
- Work closely with the platform deal team to identify any potential risks during the acquisition/business development stage.
- Oversight of programs for: ERM, Platform Risk, ABC, Cyber Security, ESG, HSE, Insurance, and liaise with Internal Audit function
- Establish risk management organization within the platform company and ensure compliance to set standards
- Establish risk registers across platform company which includes SPVs and Ho functions.
- Responsible to ensure execution of actions from BI due diligence and timely reporting to the CRO (Fund Level)
- Establish Key Risk Indicators within the process and periodic monitoring of the same
- Ensure deployment of Operational risk framework & set up a process to periodically test controls (specific focus on BI/ABC related risks) and report to the respective stakeholders
- Perform independent audits on adherence to various processes and procedures adopted within the organization. Prepare summary reports on gaps identified and assign responsibilities for execution and closure of observations.
- Surprise visits to the SPV locations and review the operational environment against risks mapped to the location
- Liaise with leadership on assessment of key enterprise risks and emerging risks
- Perform and or facilitate BI investigations in case of any issues/incident notification
- Review the Insurance program and ascertain adequacy in transfer of risks
- Ensure that monitoring & reporting of risks are performed as per established monthly/quarterly guidelines
- Ensure that a semi-annual risk management presentation is made to the Board/Risk committee of the organization which should include both operational & enterprise level risks
- Ensure that periodic risk management reports are shared with the CRO at fund level
- Facilitate various risk immersion programs and conduct trainings for all employees within the organization
- Schedule annual risk workshops with the senior leadership team
Desired Candidate Profile:
- 15 - 20 Years of Experience in Risk operations with operationally intensive industries like -Telecom / Airlines / Hospitality / FMCG / Retail / Large Vehicle Fleet operator etc
- Practical experience of Risk Management frameworks like ISO 31000, COSO
- People Leadership Project Management Collaborating across boundaries Geographic Scope -Critical Negotiations , Monitoring Compliance Investigations.
- Disciplinary Procedures Compliance trends and analytics for proactive risk management -Ability to Manage Risk of Regulatory Failure and Damage to Reputation Strategic and tactical planning for compliance program management and evolution Ability to Drive a Compliance Culture
- Networking with government bodies and state transport undertaking
- Troubleshooting and problem-solving skills, persuasion skills, time management
- Adept at ensuring compliance with various statutory regulations pertaining to day-to-day fleet operations, managing legal issues related to the company's Business
- Proficient in MS PPT/Excel, Presentations, Reporting writing skills
- Ability to work as an individual contributor or with a lean team
