- Drafting and vetting of contracts and documents;
- Interpretation of statutes & contracts;
- Legal opinions on legal issues;
- Handling court matters, preparation of pleadings, applications, affidavits, briefing outside counsel, litigation management, reporting;
- Corporate Practice: M&A's - Due Diligence, operation and management of (virtual) data room, experience in drafting and negotiating SPA's, SHA's, Joint Venture Agreements, Non-disclosure/confidentiality agreements, board resolutions, engagement agreements etc.;
- IPR matters; Property related issues such as due diligence/title verification & certification, conveyancing- sale deeds, lease deeds, agreements etc; ter-creditor Agreements,Project/Corporate finance transactions - Facility Agreements (LMA/APLMA),Term loan agreements, Inter Creditor Agreements, Security Agent agreements, Trust & Retention agreements, etc.
- HR Related Issues: employment agreements, termination issues, disciplinary proceedings, engagement agreements, etc. Legal Research and knowledge management.
M&A experience is mandatory.
