Job Description:

- As the Chief Compliance Officer or Head of Corporate Secretariat, you will play a crucial role in ensuring the company's adherence to regulatory requirements and maintaining transparent corporate governance practices.

- Below are the key responsibilities and qualifications for this role:

Responsibilities:

- Maintain and update secretarial records of the company, ensuring their accuracy and completeness.

- Manage statutory registers and records, ensuring compliance with relevant laws and regulations.

- Prepare and file various forms, returns, and applications with government authorities such as the Ministry of Corporate Affairs, Ministry of Industry and Commerce, Reserve Bank of India, Financial Intelligence Unit, etc.

- Conduct Board, Committees, and General Meetings for subsidiary companies, including agenda preparation, note-taking, and minutes drafting.

- Support the Company Secretary in conducting meetings for the Holding Company.

- Coordinate with other departments such as Marketing, Finance, etc. , to provide necessary documents from the Secretarial department. Manage filing systems and records within the Secretarial department, ensuring easy retrieval and organization.

- Identify and assess risks related to non-compliance with regulatory requirements and implement appropriate measures to mitigate them.

- Assist in the preparation of the company's annual report.

- Stay updated on existing and emerging regulatory compliance requirements and ensure their implementation across the organization.

Ensure timely compliance with the Companies Act, 2013, SEBI listing regulations, RBI norms, and other relevant laws and regulations.

- Compliance Knowledge: Sound understanding of regulatory compliance requirements and a commitment to maintaining compliance standards.

- Team Player: Ability to work collaboratively with cross-functional teams and departments.

- Confidentiality: Ability to handle sensitive information with discretion and maintain confidentiality.

- This role is pivotal in ensuring the company's compliance with regulatory requirements, maintaining corporate governance standards, and fostering transparency and trust among stakeholders.
