General Counsel


Arbitration / Litigation Management :

- Provide guidance and support to the leadership and legal team with respect to the key decisions on litigation strategy related to disputes; manage the same by interacting with the counsel, drafting, reviewing, filing and conducting matters.

- Provide legal opinion and direction for handling claims & awards matters, including those in the High Court / Supreme Court for large values.

- Actively liaise with external counsel on decision making/hearing, discussions and decisions to arrive at optimal solutions and resolution.

- Actively engage in the discussion and negotiation meetings with clients, their lawyers, Bankers and opponents personnel

- Take timely steps to hasten disposal of matters that adversely affect project & operating costs.

- Take stock of ongoing litigation, if any, and liaising with legal practitioners conducting cases. Carry out legal research and position of law and courts on matters that come up.

Deal Documentation & Contracts Management :

- Lead structuring, drafting of Civil and Criminal documentation and negotiation and finalisation of documentation for structured, financial deals, SPVs etc. for large values.

- Lead contract finalisation of EPC projects - business and commercial contracts. Provide all relevant legal support to the business.

- Approving the Vetted drafts and negotiating contracts including Project Contracts, Commercial contracts and Business Contracts, Joint Venture Agreements, Collaboration Agreements, License Agreements, MOUs, LOIs, etc. to safeguard company's interests in various commercial transactions. Overall contract management

- Apprise the Senior leadership on compliance to contractual obligations and risks under the legal framework and provide solutions to mitigate such risks.

- Keep abreast of latest developments and various legal judgements relating to commercial contracts.

Legal Compliance Management :

- Responsible for legal compliance management, monitoring & resolution of all compliance issues.

- Set up systems and processes for monitoring and report on the status of compliances.

- Ensure continuous monitoring and implement process improvements for effective compliance.

- Monitor and/or carry out Due - Diligence in Legal domain for companies identified for forming a JV or for acquisition or otherwise important for business either on behalf of Management and their legal personnel in India and Abroad

Board, Team Management and Legal Network

- Experience, confidence, and use of prudence in briefing Business Leaders, Group CEO, Chairman, and the Board.

- Develop and manage a dynamic team of legal professionals in order to ensure that the legal issues are effectively closed and act as a business partner.

- Should be able to liaise, empanel, retain or hire agencies and/or top legal professionals globally.

- Should have an excellent and a reliable network of legal professionals globally

The Person :

- Graduate or Post-Graduate in Law from a National Law College or a reputed university. Additional specialisations will be an added advantage.

- 20-25 years of relevant functional experience with proven track record of success and practical resolution of issues; abreast of latest case laws and developments. Out of the above experience, last 6-7 years should be GC or Head Legal for a large entity either at India level or regional/global level.

- Commercial and business acumen to provide realistic and feasible legal solutions.

- Hands-on experience in arbitration, litigation, and deal documentation in Infrastructure/EPC/Power Industry is desirable.

- Ability to interact and advise senior leadership team including board members on all legal and regulatory issues at a global level.

- Successful track record of collaborative teamwork and effective business partnering;

- Ability to manage both internal and external stakeholders with demonstrated leadership and networking skills.

- Excellent communication, drafting and interpretation skills. A team player with problem resolution and result oriented behavior.

- Good Executive Presence.
