Legal Analyst Professional  Roles and Responsibilities :  Proxy Voting :  - Assist with review of preliminary N-PX reports from proxy agent for errors or omissions.   - Perform an internal review of random meetings to determine if the vote was successfully and correctly executed and whether procedures were followed.   - Upload portfolio holdings data to third party vendors on daily/weekly basis.   - Conduct analysis of rejected votes data received from ISS.   - Assist with monitoring and preparation of Powers of Attorney.   - Compile directorships of affiliated directors and officers for purposes of monitoring conflicts of interest.   - Prepare board reports and client voting reports, and complete client certifications.   Shareholder Reporting :  - Receive and respond to all requests from issuers and their agents (proxy solicitors) for non-U.S. portfolio holdings information in a timely manner, disclosing only where there is a legal obligation to disclose such information.   - Conduct daily review of the reported outstanding share figure on issuer websites and / or stock exchanges and provide any updates to the Foreign Substantial Shareholder team.  Board Meeting Preparation :  - Assist board team with preparation of notices, agendas and board and committee meeting materials, including loading all materials into Board Vantage in appropriate order and in advance of all deadlines.  Other Responsibilities :  - Assist with review of shareholder reports in terms of compliance with the terms of fund agreements, disclosure of shareholder meeting results and other legal related matters.   - Assist with regulatory filings as requested.   Qualifications :   Bachelor's Degree from premier institute. A post-graduation degree like an MBA preferred, but not mandatory  Experience : Minimum 5 years analysis experience.  - Excellent research, comprehension, analytical and decision making skills   - Excellent interpersonal skills; proven ability to inform and influence decision making  - Excellent communication skills; in-depth experience in drafting, editing and proofreading detailed correspondence, documents, reports and complex legal forms  - Professional skills necessary to independently manage multiple complex projects involving confidential and detailed information  - Prior experience in Financial Services Industry, but not mandatory
