Job Title: Senior Associate
The Opportunity:
Part of the GDS RMS GCO Team supporting the Service Line Quality teams, you will be responsible for:
Drafting, reviewing, negotiations and finalisations of:
- Client Contracts (Engagement Agreements, Consultancy Agreements, Teaming Agreements, Sub-Contract Agreements, RFPs, Managed Services Agreements);
- Documents such as Statement of Work (SOW), Orders, change requests, amendments.
- Advising and guiding business, and other teams on risk management queries, internal policies, processes and legal consequences and recourse.
Key Responsibilities:
- Drafting, reviewing, negotiating, finalising and advising for EY shall include
- Review engagement agreements (including statements of work and terms & conditions), NDAs, MSAs, framework agreements, proposals, subcontracts and other ancillary documentation, providing risk management advice in relation to each
- Act as a first point of contact for our business and advice EY's partners and engagement teams on risk management issues
- Have a thorough understanding of general key business risks that need to be managed (training will be facilitated in respect of EY's specific risk management framework)
- Liaising with internal specialist functions including Independence, Finance, General Counsel's Office and Risk Management
- Understanding EY policies that are relevant to procurement transactions and how contract drafting, negotiation and execution are impacted by those policies (Independence, Procurement, Data Privacy, etc.).
- Ensuring that all contractual documents developed are compliant with EY policies.
- Managing own workflow and propose process improvements.
- Maintaining an understanding of the impact of changes in EY policies, organizational structure, and procedures.
- Guiding and handholding the junior team members in their day-to-day transactions.
Knowledge, skills and experience:
- Excellent interpersonal skills with the ability to effectively communicate with internal and external stakeholders.
- Ability to team effectively with onshore legal team and colleagues in other functions.
- Ability to grasp, understand, and accurately articulate and document technology transactions.
- Expertise in contract law, contract drafting, software licensing, intellectual property, data protection and privacy.
- Ability to assess size, scope and overall risk of contemplated transactions and to tailor contracts accordingly.
- Highly responsive with ability to manage high workload volumes efficiently and effectively.
- Keen attention to detail.
- Strong communication and English language (verbal and written) skills.
- Confidence, maturity and high degree of awareness to be able to work effectively with a broad base of senior-level internal stakeholders.
- Strong sense of personal responsibility and ownership for success of a given task.
- Eagerness to contribute to a team-oriented environment and ability to work cooperatively with other teams and country practices, demonstrating cultural sensitivity.
- Strong service-oriented personality, proficient at delivering quality work within deadlines.

Qualifications:
- Legal graduate (LL.B) with consistent strong academic record.
Experience:
- 2 - 7 years of years of relevant post-qualification experience
