Executive VP - Legal & Commercial

Seeking a VP Legal and Contracts for a Fortune professional services Company

Role & responsibilities

Lead Commercial Contracting team for to provide proactive and timely support to business to meet their strategic and growth objectives.

Provide analysis and counsel on a range of commercial issues in insurance broking and consulting business, including business structures and models, client engagement and transactions, service framework, liability and indemnity, etc.

Provide guidance around complex and critical contract types, including template and client confidentiality agreements, template client engagement letters, consulting agreements and templates, business associate agreements and vendor-provided agreements (including drafting revisions) and independent contractor agreements.

Draft, review and negotiate various types of legal documents including contracts, memos, subcontracts, vendor, trading, and acquisition agreements as well as other legal documents.

Anticipate and identify legal issues of concern to the senior management team and develop legal strategies and solutions, often in situations of high risk with limited time for assessing alternatives.

Identify and assess emerging changes in legislative & regulatory landscape impacting business and take corrective action including creation of new processes and systems.

Create playbooks and standard templates for new business requirements.

Facilitate the development, implementation and maintenance of suitable contract change management control procedures to ensure all contractual variations are recorded, monitored and made in best interest.

Educate the business teams from time to time on legal ways of working.





Technical Skills: MSOffice Word, Excel, PowerPoint and Outlook.

General Skills:

- Excellent drafting and effective negotiation skills.

- Practical lawyering sense, including the ability to balance risk considerations and commercial needs.

- Excellent stakeholder and team management skills

- Efficient, ability to prioritize workload and multi-task.

- Ability to interact and communicate effectively with all levels of staff, including senior management and external stakeholders.

Prior Experience:

- 10-15 years of in-house and/or large law firm experience in a transactional practice.

- Experience working in an MNC in India

- Knowledge of general corporate law and insurance law.

- Experience handling high volume of contract review, drafting and negotiation

- Insurance industry experience preferred.

Education/ Qualification: LLB from a reputed law school
