Executive Company Secretary (Manufacturing)

- To facilitate approval and conduct of Board meetings and general meetings of shareholders. To ensure compliance with the applicable secretarial standards. To represent the company before various authorities. To ensure that the company engages in good corporate governance practices.

- The Company Secretary is responsible for looking after the overall activities related to Compliances of Company and Forex Law and various rules and regulation thereunder. He would be responsible to Conduct Board Meetings, General Meetings, Audit Committee Meeting, etc.

- Prepare various draft agenda notes for the Board / Committees of Directors, Directors Report considering company law aspect.

- Prepare and issue Notice of Board Meeting, Committee Meeting & Annual General Meeting as per the Companies Act.

- Draft various resolutions in accordance with the provisions of the Companies Act, 2013 and rules thereunder.

- To prepare Minutes of Board, Committee, Annual General Meetings, etc.

- To file necessary forms for appointment, resignations of - Director / Auditor / Occupier

- File various statutory forms & returns with Ministry of Corporate Affairs, periodically and annually.

- Maintain and record Statutory Registers as required under the Companies Act & Rules thereunder.

- Collect disclosures, consents etc. required under the Company Law from Directors and submit before Board.

- Knowledge and working exp. of Listing Agreement and SEBI Regulations.

- Knowledge and working exp. of Trust / Society will be given preference.

- Coordinate with other functions like Finance for smooth operations of the Company.

- Other day to day secretarial work of the company.

Qualification And Experience :

1. CS & B Com with 5+ Years of Experience in a Similar Role with an Manufacturing Industry & Knowledge in e-filling forms to filled under the companies act at ROC website

2. Substantial Knowledge of working with M.S. office, internet and other required software to perform managerial task.

3. Knowledge of Advance Ms Excel, Ms Word etc.

4. Strong administrative skills and an aptitude for using IT software.

5. Good verbal and written communication skills.

6. Commercial awareness.

7. Meticulous attention to detail and the ability to work well under pressure.

8. Interpersonal skills and the ability to work with people at all levels.

9. Influencing skills

10. Excellent organization and time management.

11. An ability to take initiative.

12. A flexible and practical approach to work.

13. Discretion when handling confidential information

14. Maintain a diplomatic approach towards issues.

15. Confidence to provide support to high-profile company staff and board members.
