Company Secretary - Sr. Manager, Secretarial & Compliance


1. Timely preparation of agenda and minutes of Board meetings, Annual Reports, minutes of AGM/EGM, circular resolutions, CSR meetings, coordinating with shareholders for various disclosures and corporate representations.

2. Preparation of Registers and maintenance of records as per Companies Act, 2013 and other applicable Statues & Custodian for the same.

3. Event based and time based compliances under the Companies Act, 2013, corporate laws, rules and regulations including secretarial standards issued by Institute of Company Secretaries of India, handling various corporate actions e.g. Increase in authorized capital, issue and allotment of shares, name change, object change etc., filing compliance etc.

4. Interaction with Statutory Auditors, internal auditors for audits/data/disclosures etc. and their appointment, re-appointment;

5. Understanding business, assisting business in obtaining various licenses, applications and other documentation required for day to day running of the business.

6. Keeping up to date with any regulatory or statutory changes and policies that might affect the organization.

7. Conversant with Stock Broking (CM, F&O and Debt), Depository Participant, Research Analyst Regulations and Distribution Services (Mutual Funds, Third Party Financial Products).

8. Monitor changes in regulatory environment and take appropriate action, disseminate internally relevant regulatory press releases and circulars, including any regulatory changes and enforcement actions, formulating policies.

9. Specify internal governance policies, exchange / regulatory mandated policies and regularly monitor compliance including formulating & reviewing process notes and policies as prescribed by the Regulator/Exchanges/Depositories

10. Assistance and act as a SPOC in SEBI half yearly Internal Audit, System Audits, DP Concurrent Audits, Research Audit, Inspections, Investigations and other ad-hoc audits, procedures, practices, periodic submissions and documents to identify possible weaknesses or risks.

11. Regularly apprise the Board on status of compliance and reporting any deviations.

12. Ability to deal and handle ad-hoc requests by business teams to ensure compliance with regulatory requirement.

13. Ability to interact with exchanges / regulators / other stake holders for regulatory queries / investor complaints / Trading System requirements such as co-location, ALGOs approval etc.
