Director Grade - TOP Consulting Company _Entity Compliance Governance

- Deep knowledge of Companies Act, SEBI Regulations (LODR, POIT, SAST, etc.), IBC, Corporate Governance matters

- Average or good knowledge of other regulations like FEMA, other sectoral regulations.

- Experience of working with both listed and unlisted companies

- Experience with transaction support (mergers, demergers, buy backs, capital reductions, liquidations, share issuance/transfers etc)

- Experience with advisory (opinions), compliance, health checks, meeting management (Board/Shareholder) and company/LLP set ups and exits)

- Good energy, strong verbal and written communication skills, strong client handling skills (experience on working with both domestic clients and Inbound MNCs)

- Ability and willingness to lead and drive an aggressive GTM agenda

- Exposure to CoSec technology and POV on driving both Technology adoption for internal efficiencies and independent CoSec Technology solutions for GTM

- Strong relationship building / collaboration skills (as our captive client base is a principal source of referral work)

- Experience in leading multi-locational teams

- Existing book of clients / relationships that will migrate with the candidate

Roles and responsibilities:

- Independently be responsible for developing and growing the ECG Practice in Mumbai, Ahmedabad, Pune and other western regions. This will involve:

- Strong networking amongst CS, Legal and Finance professionals in leadership positions;

- Creating and/or following up on pursuits and converting them to business engagements

- Be responsible for and manage the team in western region.

- Contribute to the development of the ECG practice nationally.

- Have direct client interaction in providing and overseeing relevant and accurate advice to clients, carry out due diligence, undertake projects such as mergers, liquidations, etc.

- Supervise the assistance provided to clients with their routine procedural requirements under: the Companies Act, 2013 (such as conduct of Board and shareholder meetings) and other statutory obligations (such as maintenance of minutes books, statutory filings, maintenance of statutory registers, etc.)

- The SEBI Regulations and FEMA/ RBI Regulations

- Advise and assist clients with respect to non-routine initiatives under the abovementioned legislations such as mergers, buy-back, conversions, compounding application, approval applications, etc.

- Interacting with regulators such as regional offices of Ministry of Corporate Affairs (MCA), SEBI and RBI
