Description:
- Strategic Leadership: Provide strategic direction and guidance to the Board and executive leadership team, leveraging your deep understanding of the industry and market dynamics.
- Governance and Compliance: Ensure compliance with regulatory requirements and best corporate governance practices, while upholding the highest standards of integrity, ethics, and transparency.
- Risk Management: Assess and mitigate risks associated with the company's operations, investments, and strategic initiatives, while safeguarding the interests of shareholders and stakeholders.
- Financial Oversight: Review and evaluate financial performance, budgets, and financial reports to ensure sound fiscal management and accountability.
- Stakeholder Engagement: Act as a liaison between the Board, management, shareholders, and other key stakeholders. fostering effective communication, trust, and collaboration.
- Board Effectiveness: Participate actively in Board meetings, committees, and strategic discussions, offering informed perspectives and constructive feedback to enhance Board effectiveness and decision-making.
- Performance Evaluation: Facilitate regular performance evaluations of the Board, its committees, and individual Directors, to promote continuous improvement and accountability.
- Advisory Role: Serve as a trusted advisor to the Chairman, CEO, and senior leadership team, offering guidance on key strategic initiatives, mergers and acquisitions, capital allocation, and risk management.
Profile:
- Experience in a Similar role in Large Corporates/Similar setups
- Strong understanding of corporate governance principles, boardroom dynamics, and fiduciary responsibilities.
- Excellent analytical, strategic thinking, and problem-solving skills, with the ability to navigate complex business challenges and opportunities.
- Exceptional communication, interpersonal, and stakeholder management skills, with the ability to engage and influence diverse audiences effectively.
- Demonstrated integrity, ethics, and commitment to upholding the highest standards of corporate governance and ethical conduct.
