Purpose of the Job (Brief) :
- Financial and qualitative evaluation of M&A and business development opportunities
- Preparation of proposals for top management decision making
- Financial modelling for target acquisition opportunities and green field opportunities
- Working on M&A transactions undertaken by the group
Deliverables :
- Deal Screening Complete strategic fit and financial/economic analysis of opportunities.
- Help present opportunities to the executive management group and Board of Directors of Group companies or Corporate, as required.
- Financial Modelling and Valuation
- Develop financial modelling to evaluate the robustness of an opportunity.
- Apply valuation methodologies/techniques and risk analysis as appropriate for any given company, business or sector.
- Deal/Transaction Execution
- Will be an integral part of logistics/coordination involved in successfully completing due diligence and closing deals, including coordination with cross functional and due diligence teams.
- Legal Documentation Work with legal team during the transaction to translate the MoU/Term Sheet into a legal shareholder/share-purchase agreement.
- Handover to Operating Companies
- Provide briefing to the operating teams on the transaction and hand-over crucial documents to them. Work with operating/secretarial/legal teams till the time the acquisition/JV stabilizes.
- Evaluate the success of acquired entity or JV one (1) year post-transaction.
M&A Processes :
- Work on M&A process documentation and its update. Help build M&A center of excellence at Corporate.
- Develop/adopt industry best practices and inculcate in M&A team.
- International telecom license bids EOI and bid preparation which also involves extensive interaction with other functions like marketing, finance etc.
Decision level :
Prime : Prepare recommendation on opportunities for further evaluation.
- The incumbent will be guided by his/her superiors while discharging his/her principal accountabilities. Assist in capturing business requirements. To ensure value-addition to the organization by building comprehensive domain knowledge base.
- Shared : Decisions reached jointly with stakeholders on collective basis
Decisions on the way forward for the benefit of business :
- Decisions on corrective actions which needs to be taken basis the current business analysis
- Contributory : Makes a major contribution to all the day to day decisions made by Sr. VP-BD
- Inputs and contribution to all the deal the incumbent is working on

Educational Level :
