Position :DM (Compliance & Tax)

KEY DUTIES & RESPONSIBILITIES -
Corporate Secretarial -
1) Responsible for overseeing compliance with Secretarial Standards, and rules/notifications issued by Central Government for the purpose of the Companies Act, 2013.
2) In coordination with the chairman and set Board meeting and AGM calendar, issue notices and agendas for meetings and prepare minutes for each meeting. Should be able to conduct the board meetings, general meetings and committee meetings (CSR).
3) Coordinate with Directors to ensure submission of annual eligibility, DIR-3 KYC and disclosure of interest forms.
4) Ensure all the Registers required are maintained / updated as per Companies Act.
5) Be a guide & also to ensure that all the law related changes are implemented for all Entities.
6) FEMA related compliances (FLA filing, FCGPR, etc.,).
7) LEI renewal/modification. IEC updation.
Accounts & Tax:-
1) Coordinate with Finance department on the preparation, approval and filing of annual financial statements and audit of accounts for each financial year for and oversee the coordination and preparation of the same.
2) Direct Taxes compliances including Monthly TDS check, Quarterly TDS return filing, Tax provisions on monthly basis for current as well as deferred tax for US GAAP / IGAAP, Advance tax calculation & payments, Annual Tax Return Filing, Filing of Transfer pricing reports.
3) Handle tax assessment & notices. Coordinate filing appeals before CIT/DRP/ITAT, Filing rectifications before the department.
4) Support on the Indirect Taxes
5) Banking related activities (arranging LCs/BGs, Creation/satisfaction of charge, credit facility related documentations, etc.,)
6) Handle special projects in Finance & Accounting as needed.

1) Demonstrated ability to interact effectively with internal team members, company employees, company managers, clients, vendors, and customers (as may be necessary for the completion of assigned duties)

Technical Skills:-
1) Proficient with MS Office Word, Excel, Outlook.
2) Experience with Business Reporting Language (XBRL) Filing.
3) Possesses computer skills necessary for analyzing and assessing information, writing reports, charting department performance, interdepartmental communication, and ensuring records management and privacy
4) Ability to read, analyze and interpret legal and business periodicals, professional journals, cases, statutes and regulations.
5) Ability to quickly learn custom company programs.
Qualification Requirements:-
1) Qualified member of the Institute of Company Secretaries of India (should have valid membership of ICSI).
2) Experience either as a Company Secretary, Assistant Company Secretary, or Secretarial Executive.
