DGM/GM - CS + Legal
Roles and Responsibilities :
- Planning, convening board meetings and annual general meetings (AGMs) of various companies under the group.
- Preparing agendas for and taking minutes of board meetings and annual general meetings (AGMs).
- Ensuring that various board and shareholders' meetings are conducted as per statutory requirements for all companies under the group.
- Coordinating & monitoring that various statutory records together with minutes of meetings are kept and maintained in respect of all companies under the group.
- Maintaining statutory books, including registers of members, directors and secretaries.
- Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action Liaising with external regulators and advisers, such as lawyers and auditors.
- Developing and overseeing the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements.
- Overall monitoring the Compliances of various statues applicable to various companies under the group.
- Looking after the ongoing litigations and coordinating with lawyers.
- Review of various contracts/agreements entered into with the Company.
- Ensuring and protecting various IPRs of the group and acting as brand custodian.
Skills Required :
- CS+LLB
- Seasoned professional with good communication and presentation skills.
- Diligent and manage & control the secretarial work of companies across the group.
- Sharp and intelligent to review various contracts and advice on various legal matters.
