Roles & Responsibilities:
- Ensure compliance with the Companies Act, 2013, and the associated rules and regulations.
- Convene Board Meetings, including the preparation of notices, agendas, and minutes.
- Convene Shareholders Meetings for Equity and Preference Shareholders, including the preparation of notices and minutes.
- Prepare Directors' Reports, Annual Reports, and handle the filing of AOC 4 (including XBRL filing).
- Manage the end-to-end issuance of equity shares, preference shares, and debentures on a preferential basis through private placement, including all regulatory filings.
- Handle all MCA and ROC filings, including event-based and periodical compliances.
- File Form FC-GPR, FC-TRS, including downstream reporting and FLA reporting under FEMA.
- Coordinate with RTA, NSDL, and CDSL for various corporate actions, including the payment of stamp duty on transactions.
- Incorporate private limited companies and manage end-to-end compliances independently.
- Manage grants and allotments under the ESOP Scheme of private limited companies.
- Handle the transfer and transmission of shares, including the splitting of shares.
- Maintain proper records of minutes and other regulatory filings.
- Maintain and update statutory registers.
Requirements:
- A bachelor's/master's degree in Law, Business Administration, or a related field.
- Membership in the Institute of Company Secretaries of India (ICSI) or an equivalent professional body.
- Good knowledge of the Companies Act, 2013, and the rules thereon.
- Strong understanding of convening and documenting Board and Shareholders Meetings.
- Experience in preparing Directors' Reports, Annual Reports, and handling XBRL filings.
- Expertise in the issuance of securities on a preferential basis and related regulatory filings.
- Proficiency in MCA and ROC filings, including event-based and periodic compliances.
- Knowledge of FEMA reporting requirements, including FC-GPR, FC-TRS, and FLA reporting.
- Coordination experience with RTA, NSDL, and CDSL.
- Experience in incorporating private limited companies and managing ESOP Schemes.
- Ability to manage share transfer, transmission, and splitting processes.
- Strong organizational skills and attention to detail.
- Excellent written and verbal communication skills.
- Proficiency in using corporate governance software and MS Office Suite
