Job Description-;
- Responsible for all Legal and Secretarial matters.
- Convene meetings of Board of Directors, shareholders, drafting of Board/Committee Agenda minutes.
- Ensure Statutory Compliances under the provisions of the Companies Act and Rules thereof including SEBI (LODR), FEMA, IPR and other applicable laws.
- Ensure maintenance of statutory registers and filling of reports in time to the appropriate authorities.
- Conducting Legal Due Diligence, JVs, M & A, Acquisitions, Capital Restructuring including review of the transaction documents and legal repository etc.
- Representing on behalf of the Company at various statutory authorities like MCA/ROC, RBI and applicable regulatory bodies as required.
- To co-ordinate with the external auditors in managing internal audit functions of the Company and submit audit reports to the Audit Committee.
- Create and manage effective action plans in response to audit findings and reporting.
- Advise the Board of Directors to ensure that the affairs of the company are in accordance to Company policies.
- To provide clarifications on legal issues or specifications to user departments
- Group level co-ordination on Secretarial and Governance function.
- In house Counsel managing entire Legal function including Corporate Agreements and Contract database management, review process and providing mitigation plan.
- Co-ordinate with external counsels to file and defend cases, follow up pertaining to litigation by and against the Company.
- Manage legal department providing assurance that all commercial contracts, property contracts and transfers are legally sound.
- Identify areas of automation of legal and secretarial function and ensure its implementation as feasible.
- Other Legal and Secretarial Matters as assigned from time to time.
