Job Profile : Manager - Corporate Legal, Reporting into Head - Corporate Legal

I. Contract/Policy Drafting & Vetting :

a) To negotiate and finalize the terms of various contracts in co-ordination with various Business Teams of Corporate Functions like Corporate HR, Corporate IT, Corporate Central Procurement, Corporate Communications, Services etc.;

b) Attending meetings with the Vendors along with the Business Teams;

c) Responding to the issues arising out of Contracts;

d) Negotiation, vetting, drafting and execution of service agreements, NDA's, Vendor related agreements, RFPs/RFQs, new business ventures, agreements to be implanted at group level etc.

e) Drafting and vetting of the Contracts, Letters, Notices, Replies received from Corporate Functions and GHB office;

f) Drafting of Business Excellence Application;

g) Drafting of five Standard Operating Procedures (Litigation Management, Engagement of Counsel(s)/Law Firm(s), Contract Management, Legal Compliance Management & Management of Legal/Statutory Notices).

h) To assist in drafting various property related documents from legal perspective

II. LITIGATION :

a) Supporting New Businesses on Litigation matters;

b) Service matter

c) Monthly review of Critical litigation of all sectors.

III. INVOICING :

a) Creating ENFA;

b) Vendor Creation, PR/PO generation;

c) Working in SAP tool, Open Text etc,.

d) Vendor invoices, monthly invoice provisioning for Company

e) Processing of Payments of Counsels and Law Firms as per their terms of engagement & alongwith mitigation of pending issues;

f) Follow up with Sector Legal Heads, Shared Services Center - Finance, external lawyers, etc. in respect of payment of Invoices of Counsels, etc.;

IV. Compliance Management :

a) GMR's internal policy drafting - eg, Privacy Policy, anti-bribery Policy, Social Media Guidelines, Cyber Insurance, gifting policy etc., which is modified from time to time across GMR websites.

b) Assisting Sector Legal teams to utilize the Contract Management Tools. It's an in-house tool, which is a repository of contracts and also provides reminders to users to renew any agreement before their expiry. To conduct and facilitate training sessions for all Stake Holders across various businesses.


SPOC - Shashank Saxena from IT.;

a) Litigation Management - Utilizing the Litigation Management tool to keep track of their litigation matters.

b) Identification of applicable laws and statutes in various businesses and their mapping in the Compliance Portal - Legatrix;

c) Compliance implementation in Compliance Portal in co-ordination with all Business Sector Legal Teams;

d) Conducting and facilitating the training sessions for all Stake Holders across various business from time to time from Legasis;

e) Coordinating with Compliance Agency/Legasis and Business Sector Legal Teams for day to day issues and updates pertaining to the Portal, etc.

V. Day to day advice to the Business :

a) Attending day to day corporate related issues and co-ordination with various Corporate functions;

b) Preparation of various presentations by coordinating with Sector Legal Heads, like Monthly Litigation Review (Sr Management review), AOP, Frugality and other issues;

c) To support the company in various litigations arising out of business operations;

d) To co-ordinate with various Stake Holders regarding inputs required for drafts and documentation;

e) Coordination with Budgeting team on monthly expenditure of the Corporate Legal;

f) SSC Finance regarding various approvals in SAP / system management;

g) Day to day advice to Finance Shared Services and HR Shared Services based at Hyderabad;

h) Discussion and Coordination with IT and various other departments as well as Sector


Legal Teams for development of various portals;

Future Focus areas :

1. Digitalization IT Plan to internally develop the modules on Litigation Management, Real Estate Management, Statutory/Legal Notices Management, Intellectual Property Management and Time Spend Management. Together with training throughout the GMR Group.

2. Thorough implementation of Contract Management Module across all businesses of GMR Group.

3. Standardization of Contracts' templates/legal transaction documents.

4. General Corporate Advisory.

5. Frugality Management.

6. To work upon creating a mechanism for minimal dependency on External Counsels / Law Firms with regard to Litigation & Transactions.
