Position Description : Corporate Counsel

LOCATION : Bangalore, India

Summary of Responsibilities :

- Cloudtail is seeking a Corporate Counsel, who can lead the legal, secretarial and compliance team for Prione and Cloudtail. This position shall focus on managing a team of lawyers, company secretaries and compliance specialists and shall be responsible for setting up processes for managing Contracts and Litigations, have an understanding of corporate secretarial compliances, draft and implement risk mitigation strategies.

- The Corporate Counsel shall act as an effective leader and communicator working with the Board of Directors & Law Firms. Should have strong business judgment with a track record of ownership values and good relationship management skills.

The Corporate Counsel shall act as an enabler to the business and have the ability to understand and work with cross functional teams.

The Corporate Counsel shall be responsible for :

- Team Management

- Structuring transactions & drafting policies

- Overseeing the Secretarial Function

- Act as legal advisor to the BoD and management of both Prione and Cloudtail

- Proactively advise and assist in managing important change in laws and regulation

- Lead the team in developing processes, policies and procedures designed to reduce legal risk and/or increase efficiency

- Work with support functions and business team to ensure that policies of the company are being implemented, work with business teams to ensure compliance and smoothly implementing the policies and processes.

- Responsible for instructing and interacting with law firms on behalf of Prione and Cloudtail.

Technical Skills :

- Strong analytical and judgement skills

- Strong Communication Skills - Verbal and Written (Technical and non-technical)

- Working In Ambiguity.

Basic Qualifications :

- Bachelor's degree or Master's Degree in Law, Qualifies CS (Preferred but not essential)

- Proven experience in leading a team and also managing cross-functional interaction

- 8 + years of experience in Retail, IT or general corporate advisory

- Well versed with Regulatory Affairs framework & Good understanding of Business.
