Opening for one of the leading bank for Middle east location -Riyadh-Corporate Governance


- Conduct assessments of the bank's corporate governance capabilities, practices, and activities. Perform gap analysis, identify areas for improvement, and recommend solutions to enhance governance effectiveness.

- Develop corporate governance strategy and corporate governance framework.

- Review the adequacy of Board and Board Committees' charters and ensure alignment with regulatory requirements. Assist the development or modifications of Charters.

- Provide support to the Board of Directors and Board Committees by coordinating meeting logistics, preparing materials, and facilitating communications.

- Review the adequacy of Management Committees' charters and ensure alignment with regulatory requirements. Assist the development or modifications of Charters.

- Contribute to the development, review, and implementation of corporate governance policies, procedures, and guidelines. Ensure alignment with regulatory requirements and industry best practices.

- Develop monitoring methods and reports on key governance metrics to track adherence to governance policies and objectives. Provide regular updates and reports to senior management and the Board of Directors.

- Monitor regulatory developments related to corporate governance and ensure compliance with applicable laws, regulations, and codes of conduct. Keep track of emerging governance trends and assess their impact on the organization.

- Assist in the design and delivery of training programs and awareness campaigns on corporate governance principles, ethics, and compliance.

- Engage with internal and external stakeholders, including regulators, investors, auditors, and external parties to promote transparency and accountability in corporate governance. Build and maintain effective relationships with key stakeholders.

- Candidates will have 11 to 20 years of professional experience with experience in leading banks and consulting firms, specializing in Financial Service Advisory.

- Strong knowledge of corporate governance, risk management, and compliance

- Awareness and understanding of the regulatory framework in which the firm operates, and the regulatory requirements and legislations.

Location - open to travel to Middle East for longer period
