Coporate Governance Audit Role - Consulting Firm - Contractual

At Outsized, we match clients in financial services and management consulting to high-quality independent consultants and boutique/specialist firms for the execution of their key projects.

Our client is a top-tier global consulting firm. They are currently carrying out a project for a client in the Telecom space, in the middle east. They are looking to onboard a professional with prior experience in corporate governance audit to join their team. The professional will be embedded into the client"s project team.

The selected professional would be required to assist with the below:

- Nature of establishment and legal structure

- Roles, responsibilities, and composition of Board and Board Sub-Committees

- Board and Board Sub-Committee operations

- Roles and responsibilities of Executive Management and its Committees (as applicable)

- Reporting arrangements between Executive Management, Board Sub-Committees, Board and Shareholders

- Delegation of authority, with focus on shareholder, board, and executive management authorities

- Key policies limited to finance, investment, dividend, human resources, procurement, and information technology

- Corporate governance policies and procedures

Review of current practices related to:

1. Internal control framework

2. Investor relations

3. Company disclosure and transparency

- Mandate, scope and reporting for External Audit, Compliance, and Risk Management functions.

- Corporate and management performance reporting framework including strategy, business plans and performance evaluation.

Experience Required:

- Professional with 6+ years of experience in Corporate Governance

- Good communication and senior stakeholder management skillset

This is a contractual opportunity and will be on an initial 9 months contract. The selected consultant would be deployed in Abu Dhabi for the duration of the contract.
