Responsibilities :
- Provide professional services on corporate secretarial matters for local and international clients, including setting up and incorporating of corporate structures.
- Handle regular, event based and conditional compliances under Companies Act, Foreign Exchange regulations, listing rules and other corporate laws.
- Give advice after consulting with seniors to clients/companies in maintaining good corporate governance practices.
- Drafting resolutions and preparation of Minutes of various meetings of corporates under applicable acts.
- Develop different expertise areas under the said acts.
- Handle liaisoning / representing matters with the statutory authorities such as Registrar of Companies, Regional Directors, RBI etc.
- Handle secretarial and compliance assignments of corporate actions such as strike-off, buy-back, preferential issues, charge creation and satisfaction, Alterations of MOA and AOA etc.
- Handle compliance review assignments involving corporate, labour, commercial, environmental and fiscal laws.
- Identify and promotes opportunities to share best practices.
- Perform other duties as assigned.
Desired Profile
- Qualified CS/Inter CS/LLB preferred.
- 2+ years- relevant experience gained from professional firms in client servicing environment;
- Good Communication Skills (Verbal & Written) and proficiency in using MS office/365
Skill Set
- Good knowledge in domestic corporate laws and familiar with domestic labour, commercial, environmental and fiscal laws.
- Mature, self-motivated with good interpersonal and presentation skills.
- Service-driven, able to communicate with clients at all level.
- Detail-oriented and well-organized, skilled in planning and management reporting.
- Demonstrated analytical and problem-solving skills.
