- Candidate should have played a Company Secretary role in her career for > 5 Years

Job Description:
Role: Company Secretary
Job location: Chennai
Reporting to: President & CFO
Summary of the role:
- Responsible for the efficient administration of the company, with regard to ensuring compliance with statutory requirements and the decisions of board of directors are implemented and conforming to regulatory requirements as per the company law.
Role and responsibility:
- To ensure all Company Legal Matters relating to Companies Act, FEMA, Mergers and acquisition, Licensing etc.
- Advisory and active support to Board, Audit Committee and AGM related activities
- Ensuring the highest level of Compliance with reference to Companies Act, Law of contracts both internal and external to the company
- Corporate Compliance and other Legal & Secretarial Compliances includes IFC related Compliance.
- Actively assist compliance & secretarial function for South Asia
- Support Treasury related which includes RBI, ECB, and FIPB etc.
- Advising all legal matters with respect to contracts, agreements, joint ventures etc.
- A strong communicator with leadership & team building skills
- Exposed to Mergers & acquisition processes and laws
- Exposed to working with multi cultural professionals
Qualifications & Experience
- Qualified company secretary (ACS) and 15+ years of experience
- Candidate should have worked in MNC and diverse experience would be desired
- Social Skills
- Ability to work effectively in a multi-cultural environment
- Ability to work in a team and to promote team work
- Ability to apply knowledge and original thinking to problem solving and issue resolution
