Job Description:
We are seeking a highly skilled and detail-oriented Company Secretary to join our team. The Company Secretary will be responsible for ensuring compliance with various regulatory requirements, including those stipulated by the Companies Act and the Reserve Bank of India (RBI). Additionally, The company Secretary will oversee the vetting and record-keeping of legal documents and corporate contracts, aid in the preparation of financial reports, and assist in the preparation of the annual report.
Responsibilities:
Compliance with Companies Act Requirements:
- Ensure adherence to all requirements outlined in the Companies Act.
- Manage and oversee all filings with the Registrar of Companies (ROC) as per statutory timelines.
- Stay updated on amendments and changes to the Companies Act and implement necessary adjustments to ensure compliance.
Compliance with RBI Regulations:
- Maintain thorough understanding of RBI regulations applicable to the company's operations.
- Ensure timely filing of necessary reports and documentation as per RBI guidelines.
- Collaborate with relevant stakeholders to address any regulatory concerns or queries from the RBI.
Vetting and Record-keeping of Legal Documents:
- Review and vet legal documents and corporate contracts to ensure compliance with applicable laws and regulations.
- Maintain an organized record-keeping system for all legal documents and contracts.
- Liaise with legal counsel and external parties as needed to finalize agreements and contracts.
Aid in the Preparation of Financial Reports:
- Assist in the preparation of financial reports in accordance with disclosure requirements.
- Coordinate with finance and accounting teams to gather necessary data and information for reporting purposes.
- Ensure accuracy and completeness of financial disclosures in compliance with regulatory standards.
Preparation of Annual Report:
- Play a key role in the preparation of the company's annual report.
- Coordinate with various departments to compile relevant information and data for inclusion in the annual report.
- Ensure that the annual report complies with regulatory requirements and accurately reflects the company's financial and operational performance.
Qualifications:
- Bachelor's degree in Law, Commerce, Business Administration, or a related field.
- Qualified Company Secretary (ACS) with membership in the Institute of Company Secretaries of India (ICSI).
- Strong understanding of the Companies Act, RBI regulations, and other relevant laws and regulations.
- Excellent communication and interpersonal skills.
- Ability to work effectively in a team environment and collaborate with cross-functional teams.
- Attention to detail and strong organizational skills.
- Prior experience in a similar role, preferably in a corporate environment.
- The Company Secretary plays a critical role in ensuring the company's compliance with legal and regulatory requirements, as well as facilitating transparent and accurate reporting.
