Job Overview:
The Company Secretary is a strategic role in the company and the incumbent is expected to have a thorough understanding of the company law and other statutory compliances as mandated by RBI and other applicable statues. He / She will keep the management updated on legal requirements and the board of directors duly informed about statutory obligations. He/she will ensure that all procedures mandated under the applicable law are followed, all records are maintained and that the reporting requirements are fulfilled.
Job Description:
Board Support and Communication:
- Assist in preparation of agendas and papers for board meetings, committees, and general meeting.
- Follow up on action points.
- Conducting board / general meetings physical as well as video conferencing
- Act as a liaison between the board of directors, executive management, and shareholders.
- Facilitate communication, providing directors with necessary information and ensuring decisions are documented and communicated effectively.
Regulatory Compliance:
- Stay updated on microfinance industry regulations and assist in ensuring compliance to various laws and regulations as applicable to the company
- Assistance in filing, registering any document including forms, returns and applications by and on behalf of the company with various regulators like RBI/MCA
- Drafting of Resolutions and Explanatory Statements.
- To update on the latest amendments in Companies Act, RBI and other rules and regulations applicable in Micro Finance Field.
- Preparation of Minutes of Board Meeting and General Meeting and maintenance of statutory books and registers required under the Companies Act, 2013.
- Coordinate with other consultants for obtaining certifications & information to provide timely reporting to various lenders of the Company.
- Preparation of regulatory returns and reports to be submitted to RBI from time to time.
- Ensuring compliances before the timelines to avoid any penalties.
Legal Compliance:
- Review contracts and agreements, ensuring they comply with applicable laws and regulations.
- Provide legal guidance on various corporate matters, including lending agreements and risk management.
Record Keeping and Filing:
- Maintain accurate and up-to-date records of corporate documents, contracts, and regulatory filings.
- Ensure timely submission of statutory returns and reports to relevant authorities.

Qualification & Experience
- Qualified Company Secretary, preferably with LLB
- A total of 10 years' experience with min 5 years in a mid-sized Microfinance / NBFC managing the Secretarial Function.
Skills and other Attributes required
- Being a team leader- Guide secretarial team on day to day functions,
- Keep himself / herself abreast with regulatory changes (latest judgements & proposed changes in the Law and its impact on the functioning of the company).
- Ability to handle multiple tasks, excellent communication skills both oral and written.
- Ability to communicate and work directly with Board of Directors
- Co-ordinate with internal teams including Compliance teams for timely and accurate filings of statutory reports
Compensation - 24 to 26 Lacs
